Huatai United Securities Co., Ltd. (hereinafter referred to as “Huatai United Securities” or “sponsor”) is the sponsor of Hc Semitek Corporation(300323) (hereinafter referred to as ” Hc Semitek Corporation(300323) ” or “company”) to issue shares to specific objects in 2020 and to be listed on the gem in the continuous supervision stage, In accordance with the measures for the administration of securities issuance and listing recommendation business, the Listing Rules of Shenzhen Stock Exchange on the growth enterprise market, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on the growth enterprise market and other relevant provisions, a prudent due diligence was conducted on the investment in Securities and derivatives in Hc Semitek Corporation(300323) 2021. The specific verification results are as follows:
1、 Review and approval of securities and derivatives investment
The company held the 11th meeting of the 4th board of directors and the 8th meeting of the 4th board of supervisors on January 28, 2021, deliberated and approved the proposal on the proposed long-term foreign exchange settlement and sales business of the company and its holding subsidiaries, and agreed that the company and its holding subsidiaries should use the foreign exchange products provided by financial institutions to carry out the long-term foreign exchange settlement and sales business with a total amount of no more than US $80 million. The forward foreign exchange settlement and sales business carried out by the company follows the principle of locking exchange rate risk and does not engage in speculative and arbitrage trading operations, but there are still certain risks in the forward foreign exchange settlement and sales operations:
1. Exchange rate fluctuation risk: when the exchange rate changes greatly, if the exchange rate agreed in the confirmation of forward foreign exchange settlement and sales is lower than the real-time exchange rate, exchange losses will be caused.

2. Internal control risk: forward foreign exchange settlement and sales transactions are highly professional and complex, which may cause risks due to imperfect internal control system.
4、 Risk control measures taken by the company
1. Choose the forward foreign exchange settlement and sales business with simple structure, strong liquidity and low risk of fixed income.
2. The long-term settlement and sales of foreign exchange shall be based on the principle of hedging and avoid the risks caused by exchange rate fluctuations to the greatest extent. The authorized departments and personnel shall pay close attention to and analyze the market trend, and timely adjust the operation strategy in combination with the market conditions to improve the hedging effect.
3. The company has formulated the foreign exchange hedging business management system, which clearly stipulates the organization, approval authority, authorization system, business process, risk management system, reporting system, confidentiality system, information disclosure and file management system of the company for foreign exchange hedging, so as to effectively regulate the long-term foreign exchange settlement and sales business. 5、 Opinions of independent directors
After verification, the company only carried out forward foreign exchange settlement and sales business in 2021 and did not make securities investment. The company’s forward foreign exchange settlement and sales business follows the principle of hedging and does not engage in speculative arbitrage transactions. The funds used for the forward foreign exchange settlement and sales business are its own funds, which does not affect the development of the company’s main business. The company carried out foreign exchange hedging business in strict accordance with the requirements of relevant laws and regulations, the articles of association and relevant systems of the company, and performed the corresponding approval procedures. There was no violation of relevant laws, regulations and rules, and there was no damage to the interests of the company and small and medium-sized shareholders.
6、 Opinions of the sponsor
After verification, the sponsor believes that the company’s securities and derivatives investment does not violate the provisions of relevant laws, regulations and normative documents, such as the Listing Rules of Shenzhen Stock Exchange on the gem, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 2 – standardized operation of listed companies on the gem, and complies with the provisions of the articles of association, and the decision-making procedures are legal and compliant.
