Announcement on the remuneration scheme of directors, supervisors and senior managers in 2022

The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.

Chacha Food Company Limited(002557) (hereinafter referred to as “the company”) deliberated and adopted the proposal on the remuneration of directors and senior managers in 2022 at the 20th meeting of the 5th board of directors held on April 11, 2022, and deliberated and adopted the proposal on the remuneration of supervisors in 2022 at the 16th meeting of the 5th board of supervisors held on the same day. The independent directors of the company have expressed their explicit consent to the above proposal, which needs to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation. The remuneration plan of the company’s directors, supervisors and senior managers in 2022 is hereby announced as follows:

1、 Applicable object

Directors, supervisors and senior managers of the company.

2、 Applicable period

The current remuneration scheme for directors and supervisors will be implemented after being deliberated and approved by the general meeting of shareholders of the company, and the new remuneration scheme for directors and supervisors will automatically become invalid after being deliberated and approved by the general meeting of shareholders of the company.

This senior management compensation plan will be implemented after being approved by the board of directors, and will automatically become invalid after the new senior management compensation plan is reviewed and approved by the board of directors.

3、 Salary standard

1. Remuneration scheme for directors of the company

(1) Directors of the company who hold management positions in the company shall receive remuneration according to their management positions. Directors who do not hold management positions shall not receive remuneration in the company;

(2) The remuneration of independent directors of the company is 80000 yuan / year (before tax).

2. Remuneration scheme for supervisors of the company

The company’s internal supervisors are paid according to their actual positions in the company, and the supervisors participating in the company’s excellence incentive bonus policy can receive additional bonuses according to the value creation. The remuneration of external supervisors who do not hold actual positions in the company is 150000 yuan / year (before tax).

3. Senior management compensation scheme

Senior managers refer to the general manager, deputy general manager, chief financial officer and Secretary of the board of directors of the company. The company’s senior managers adopt the annual salary system, with the basic annual salary = basic salary + performance salary, and the basic annual salary is about 6 Ping An Bank Co.Ltd(000001) .8 million yuan / year. 4、 Other provisions

1. The remuneration of independent directors of the company shall be paid annually; The remuneration of external supervisors who do not hold actual positions in the company shall be paid on a monthly basis; Supervisors who hold actual positions in the company receive remuneration for their actual positions; The basic salary of senior managers shall be paid monthly and the performance salary shall be paid annually; The expenses actually incurred by directors, supervisors and senior managers due to attending the company’s meetings shall be reimbursed by the company;

2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office;

3. Due to the completion of the company’s annual business plan, the actual payment amount of the performance salary of the above personnel will fluctuate;

4. The above salaries are pre tax amounts, and the individual income tax involved shall be uniformly withheld and paid by the company.
