As an independent director of Xuchang Ketop Testing Research Institute Co.Ltd(003008) (hereinafter referred to as the “company”) in accordance with the rules for independent directors of listed companies, the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital transactions and external guarantees of listed companies, the stock listing rules of Shenzhen Stock Exchange and other relevant laws and regulations and the provisions of Xuchang Ketop Testing Research Institute Co.Ltd(003008) articles of association, Based on the principle of seeking truth from facts and the attitude of being responsible to the company and all shareholders, and based on the position of independent judgment, we have carefully checked the occupation of the company’s funds and external guarantees by the company’s controlling shareholders and other related parties in 2021. Now we express our independent opinions as follows:
1. Opinions on shareholders’ occupation of the company’s funds
After verification, as of December 31, 2021, the company had no controlling shareholders and no funds were occupied by the controlling shareholders. In 2021, the capital transactions between the company and related parties were normal business capital transactions. The company did not occupy the company’s funds by more than 5% of shareholders, nor did the related parties illegally occupy the funds of listed companies, and there was no damage to the legitimate rights and interests of the company and minority shareholders.
2. Opinions on external guarantee of the company
After verification, as of December 31, 2021, the company has no controlling shareholder, no external guarantee, no guarantee for the controlling shareholder and other related parties, any unincorporated unit or individual, no indication that the company may bear the guarantee liability due to the debt default of the guaranteed party, and no damage to the legitimate rights and interests of the company and minority shareholders.
