1、 Overview of strategic cooperation
Shandong Weida Machinery Co.Ltd(002026) (hereinafter referred to as “the company”) Jinan first Machine Tool Co., Ltd., a wholly-owned subsidiary, signed the strategic cooperation agreement with Siasun Robot&Automation Co.Ltd(300024) (Shandong) Intelligent Equipment Research Institute of Harbin Institute of technology on April 10, 2019. The two sides decided to form a strategic partnership, Relying on the R & D and manufacturing advantages of Jinan first Machine Tool Co., Ltd. in the medium and high-grade CNC machine tool industry of metal cutting and the technical accumulation of Siasun Robot&Automation Co.Ltd(300024) (Shandong) Intelligent Equipment Research Institute of Harbin University of technology in the R & D and manufacturing of intelligent equipment, carry out comprehensive strategic cooperation. 2、 Reasons for termination of strategic cooperation
Since the signing of the strategic cooperation agreement, the two sides have actively communicated on follow-up cooperation and made efforts to promote relevant cooperation matters, but there has been no substantive progress. Now, according to the actual situation and through friendly negotiation, both parties agree to terminate the strategic cooperation agreement, and signed the termination agreement of the strategic cooperation agreement (hereinafter referred to as the “termination agreement”) on April 9, 2022.
3、 Main contents of termination agreement
Party A: Jinan first Machine Tool Co., Ltd
Party B: Harbin Institute of Technology Siasun Robot&Automation Co.Ltd(300024) (Shandong) Intelligent Equipment Research Institute
1. Both parties agree that the strategic cooperation agreement signed by both parties on April 10, 2019 will not be extended after it expires on April 9, 2022, and the agreement will be terminated, that is, from the date of signing this agreement, the strategic cooperation agreement will not be legally binding on both parties, and both parties have no creditor’s right and debt relationship with respect to the strategic cooperation agreement.
2. Party A and Party B agree and confirm that after the termination of the strategic cooperation agreement, the rights and obligations of both parties will end, and neither party will bear the liability for breach of contract for terminating the strategic cooperation agreement.
3. Party A and Party B agree and confirm that there is no dispute or dispute over the strategic cooperation agreement, and this agreement is the true intention of both parties.
4. Both parties agree and confirm that after this Agreement comes into force, neither party shall require the other party to perform its obligations or put forward any requirements or claims to the other party in accordance with the strategic cooperation agreement.
5. This Agreement shall come into force after being signed and sealed by both parties.

The strategic cooperation agreement only represents the cooperation intention and framework agreement on the cooperation premise of all parties. The termination of this strategic cooperation is the result of friendly negotiation between both parties. Jinan first Machine Tool Co., Ltd. does not need to bear compensation and legal liability for the termination of this strategic cooperation. This matter will not have an adverse impact on the company’s performance and production and operation, nor will it affect the company’s future development strategy and business planning, and there is no situation damaging the interests of the company and shareholders.
