Announcement on the resolution of the 5th meeting of the 5th board of supervisors in 2022

1、 Meetings of the board of supervisors
Guangdong Dowstone Technology Co.Ltd(300409) (hereinafter referred to as “the company”) the notice of the 5th meeting of the 5th board of supervisors in 2022 was sent to all supervisors by e-mail and telephone on April 9, 2022, and held in the conference room of the subsidiary Foshan Dow Technology Co., Ltd. on April 10, 2022. There were 3 supervisors who should attend the meeting and 3 supervisors actually attended the meeting, including Mr. Yu zudeng and Mr. He Xianghong. The meeting was presided over by Mr. Yu zudeng, chairman of the board of supervisors, and Ms. Wu Nan, Secretary of the board of directors of the company, attended the meeting as nonvoting delegates. The convening and voting of this meeting of the board of supervisors comply with the relevant provisions of the company law and the articles of association, and the meeting is legal and valid.
2、 Deliberation at the meeting of the board of supervisors
After careful deliberation by the supervisors attending the meeting, the following proposals were passed in accordance with the articles of association and relevant laws and regulations:
The proposal on signing the investment contract of carbon material project between the subsidiary Griffin and the Management Committee of Lanzhou new area was reviewed and approved
The company’s subsidiary Foshan Griffin new energy Co., Ltd. (hereinafter referred to as “Griffin”) plans to sign the carbon material project contract with the Management Committee of Lanzhou New Area. Griffin (including but not limited to Griffin’s affiliates) plans to set up a new holding subsidiary in Lanzhou New Area, Invest in the construction of the “production project with an annual output of 5000 tons of carbon nanotube powder, 30000 tons of carbon nanotube slurry (including relevant industrial chain supporting) and 150000 tons of silicon carbon and graphite negative electrode materials and graphitization processing”. Among them, the carbon material bases of the company with an annual output of 5000 tons of carbon nanotube powder will add 100000 tons of slurry capacity on the basis of the existing 100000 tons of slurry capacity planning. After the project is completed, Lanzhou base will become an important carbon nanotube production base in China. The total planned investment of the project is 6 billion yuan, of which the investment in fixed assets is 5.18 billion yuan. The investment for the first phase of the project is RMB 3.295 billion, of which the investment for the second phase is planned to be RMB 3.285 billion. The construction investment funds of phase I project mainly come from self raised funds and government supported bank loans.
