Announcement on the election of independent directors

Misho Ecology & Landscape Co.Ltd(300495) (hereinafter referred to as “Meishang ecology” or “the company”) held the 49th meeting of the third board of directors on April 8, 2022, deliberated and adopted the proposal on electing Xia Yan as an independent director of the company. Due to the needs of the company’s operation and management, the board of directors of the company agreed to nominate Mr. Xia Yan (see the appendix for resume) as the candidate for independent director of the company after the qualification of the nomination committee of the company, The proposal still needs to be submitted to the general meeting of shareholders for deliberation. After being elected as an independent director, Mr. Xia Yan agreed to serve as chairman of the nomination committee, member of the audit committee and member of the Remuneration Committee of the board of directors.
The independent directors of the company have expressed their independent opinions on the above matters.
Mr. Xia Yan has not obtained the qualification certificate of independent director, and has promised to participate in the latest independent director training and obtain the qualification certificate of independent director recognized by Shenzhen Stock Exchange.
The company will submit the details of independent director candidates to the website of Shenzhen Stock Exchange (www.szse. CN.) through the business area of Listed Companies in accordance with the requirements of the filing measures for independent directors of Shenzhen Stock Exchange Publicity. During the publicity period, if any unit or individual has any objection to the qualification and independence of the independent director candidate of the company, they can feed back their opinions to the Shenzhen Stock Exchange on the qualification of the independent director candidate and the situation that may affect his independence through the channels provided by the website of Shenzhen Stock exchange. Xia Yan, male, born in July 1962, Chinese nationality, without permanent residency abroad. He graduated from the school of design of Jiangnan University in 1989 and has been engaged in the design teaching of modeling specialty. Since then, he has the title of associate professor. His main research direction is visual expression and space design and cross platform interactive design and development.
Up to now, Mr. Xia Yan has not held the company’s shares, has no relationship with the controlling shareholder, actual controller, shareholders holding more than 5% of the company’s shares and other directors, supervisors and senior managers, has not been punished by the CSRC and other relevant departments and the stock exchange, has not been listed as a dishonest executor, and has no company law The circumstances stipulated in the articles of association and the guidelines for self discipline and supervision of companies listed on Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on GEM are not allowed to serve as independent directors of the company, and there is no situation stipulated in article 3.2.3 of the guidelines for standardized operation of companies listed on gem of Shenzhen Stock Exchange.
