Announcement on the remuneration scheme of directors, supervisors and senior managers of the company in 2022

The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.

Shenzhen Cotran New Material Co.Ltd(300731) (hereinafter referred to as “the company”, Shenzhen Cotran New Material Co.Ltd(300731) ) has formulated the remuneration plan for directors, supervisors and senior managers in 2022 in accordance with the articles of association, the detailed rules for the work of the remuneration and assessment committee of the board of directors and other relevant systems of the company, in combination with the actual business development of the company and with reference to the remuneration levels of industries and regions. The relevant information is hereby announced as follows:

1、 Scope of application

Directors, supervisors and senior managers receiving remuneration in the company

2、 Applicable time

January 1, 2022 to December 31, 2022

3、 Organization management

According to this plan, the salary and appraisal committee shall specifically organize and implement the annual performance appraisal of the appraisal objects and supervise the implementation of the salary system. The board of supervisors and internal audit institutions of the company shall supervise and assess. 4、 Salary payment standard

1. The remuneration standard of independent directors of the company in 2022 is 120000 yuan (including tax) / year.

2. Executive remuneration of non independent directors, supervisors and senior managers in the company.

Post salary = basic salary + annual performance bonus + various subsidies

Annual performance bonus: set the annual performance bonus base and annual performance appraisal indicators according to the company’s employee performance management measures and employee annual incentive plan, and calculate and issue the annual performance bonus according to the annual performance appraisal results.

Various subsidies: implemented according to the relevant systems of the company.

3. Directors, supervisors and senior managers who do not hold office in the company shall not receive remuneration in the company.

4. If the remuneration of directors, supervisors and senior managers of the company is received in the subsidiary, it shall be paid in accordance with the remuneration management system and performance commission of the subsidiary.

5、 Formulation and modification

The remuneration scheme of directors and supervisors shall be formulated by the remuneration and assessment committee of the company, and submitted to the general meeting of shareholders for deliberation and approval after being reviewed by the board of directors and the board of supervisors. The same shall apply in case of modification or termination.

The remuneration scheme for senior managers shall be formulated by the remuneration and assessment committee, reviewed and approved by the board of directors, and the same shall apply when it is modified or terminated.

6、 Take effect

The company held the sixth meeting of the third board of directors and the fifth meeting of the third board of supervisors on April 8, 2022, and considered the proposal on the remuneration scheme of directors and supervisors in 2022. Since the remuneration of directors and supervisors in the proposal is related to the interests of all directors and supervisors, and all directors and supervisors are affiliated personnel, the proposal on the remuneration scheme of directors and supervisors in 2022 needs to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation and implementation. The proposal on the remuneration scheme for senior managers of the company in 2022 was deliberated, adopted and implemented at the sixth meeting of the third board of directors on April 8, 2022. If other similar or conflicting systems fail automatically, this scheme shall prevail.

7、 Opinions of independent directors

According to the company’s salary management measures and other regulations, the salary of the company’s directors and supervisors conforms to the actual situation of the company’s current operation and management, matches the average level of the company’s region and industry, the actual responsibilities and work of the company’s directors and supervisors in the company, and refers to the company’s performance, operation and development status and development plan, which is conducive to mobilizing the work enthusiasm of directors and supervisors and the long-term development of the company. The board of directors agreed to submit the remuneration plan of the company in 2021 to the board of directors in 2022.

According to the company’s salary management measures and other regulations, the salary of the company’s senior managers is in line with the actual situation of the company’s current operation and management, which is conducive to strengthening the diligence of the company’s senior managers, promoting the company to improve the overall management level and operating efficiency, in line with the interests of investors and the provisions of relevant laws and regulations and the articles of association. Therefore, we unanimously agree on the compensation plan for senior managers of the company in 2022.
