In accordance with the duties entrusted to the independent directors by relevant rules and regulations such as the guiding opinions on the establishment of independent director system in listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association and the company’s independent director system, and based on the position of independent judgment, we hereby express the following opinions on the appointment of senior managers of the company:
After examination, Ms. Zhang Zekai, Mr. Zhao Mao, Mr. Li zhongzhao and Ms. Han Xiaoying met the requirements of relevant laws and regulations and the articles of Association for job qualifications, and found no circumstances in which they are not allowed to serve as senior managers of the company, no circumstances in which they are determined by the CSRC to be prohibited from entering the market and the period has not been lifted, and have not received any punishment and punishment from the CSRC and the stock exchange, Having the qualification and ability to serve as senior managers of the company, the board of directors agreed to appoint Ms. Zhang Zekai as the chief financial officer of the company and Mr. Zhao Mao, Mr. Li zhongzhao and Ms. Han Xiaoying as the deputy general manager of the company.
