In accordance with the rules for independent directors of listed companies, the guidelines for self regulatory supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association, the independent director system and other relevant provisions, we, as independent directors of Yunnan Energy Investment Co.Ltd(002053) (hereinafter referred to as the “company”), based on our independent judgment, Express the following independent opinions on the signing of the agency cultivation framework agreement between the company and the controlling shareholder Yunnan Energy Investment Group Co., Ltd. (hereinafter referred to as “energy investment group”) and its subsidiary Yunnan Green Energy Industry Group Co., Ltd. (hereinafter referred to as “green energy group”):
The company signed the agency cultivation framework agreement with energy investment group and green energy group, which is in line with the relevant provisions of the guidelines for the supervision of listed companies No. 4 – commitments of listed companies and their related parties, and the guidance on promoting state-owned shareholders to solve inter-bank competition with their holding listed companies and standardizing related party transactions (gzfcq [2013] No. 202) issued by the SASAC and the CSRC of the State Council, which is conducive to the company’s control of project investment risks, It is against the principle of fairness and impartiality of the company, especially against the interests of small and medium-sized shareholders. When the board of directors deliberated the proposal, the related directors have avoided voting, and the voting procedures and voting results of the board of directors are legal and valid.
Therefore, we agree that the company, energy investment group and green energy group sign the framework agreement on agent cultivation, and agree to submit the matter to the general meeting of shareholders of the company for deliberation.
