On April 8, 2022, the third extraordinary meeting of the board of directors of the company in 2022 deliberated and approved the proposal on nominating candidates for non independent directors of the seventh board of directors and the proposal on proposing the appointment of the company’s chief financial officer. 1、 Nomination of candidates for non independent directors of the 7th board of directors of the company
In view of the resignation of Ms. Deng Ping, a director of the company, due to job changes, in order to ensure the normal operation of the board of directors, the board of directors of the company agreed to nominate Ms. Zhang Zekai (see attachment for resume) to the general meeting of shareholders of the company as a candidate for non independent director of the seventh board of directors of the company after being nominated by more than two-thirds of the directors of the company and reviewed by the nomination committee of the board of directors.
After Ms. Zhang Zekai was elected as a director of the company by the general meeting of shareholders of the company, the total number of directors who concurrently serve as senior managers and staff representatives in the board of directors of the company does not exceed half of the total number of directors of the company. 2、 Appointment of the company’s chief financial officer
