As an independent director of Zhongyin Babi Food Co.Ltd(605338) (hereinafter referred to as “the company”), we carefully reviewed the company’s guarantee matters in 2021 in accordance with the regulatory requirements of documents such as regulatory guidelines for listed companies No. 8 – regulatory requirements for capital transactions and external guarantees of listed companies and relevant internal systems of the company, and made the following special instructions and independent opinions on the company’s external guarantees:
1. Special Description:
(1) The company can strictly control the risk of external guarantee. As of December 31, 2021, the balance of external guarantee is RMB 0. The company’s external guarantee business is under control. The company does not provide guarantee for controlling shareholders and other related parties, unincorporated units or individuals holding less than 50%.
(2) The company’s external guarantees have fulfilled the relevant approval procedures and information disclosure obligations in accordance with the provisions.
2. Independent opinion:
We believe that the company can strictly implement the relevant notification requirements of the CSRC and the provisions of relevant laws, regulations and normative documents, the decision-making procedures of the company’s external guarantee are legal and reasonable, the company performs the relevant information disclosure obligations according to the regulations, and fully reveals the risks of external guarantee. The company’s external guarantee does not damage the interests of the company and its shareholders, especially minority shareholders.
