Independent opinions on matters related to the 39th meeting of the third board of directors in accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guiding opinions on the establishment of independent director system in listed companies, the Listing Rules of Shanghai Stock Exchange, the China Nuclear Engineering & Construction Corporation Limited(601611) articles of Association (hereinafter referred to as the “articles of association”) and other relevant provisions, As an independent director of China Nuclear Engineering & Construction Corporation Limited(601611) (hereinafter referred to as “the company”), based on the principle of independent and objective judgment, I hereby express independent opinions on relevant matters of the 39th meeting of the third board of directors of the company as follows:

1、 Independent opinion on 2022 guarantee plan

After deliberation, the company’s guarantee events in 2021 and the guarantee plan in 2022 comply with the provisions of the articles of association and relevant systems, and have fulfilled the necessary deliberation and approval procedures, without damaging the rights and interests of the company and shareholders.

2、 Independent opinions on related party transactions

The signing of the framework agreement on daily related party transactions (20222024) between the company and CNNC group and the signing of the financial service agreement (20222024) with CNNC finance and CNNC finance are necessary for the company’s normal business. The transaction follows the market-oriented principle, is fair and reasonable, and the pricing is fair, without damaging the interests of the company and shareholders. Relevant decision-making procedures are legal. Such related party transactions will not affect the independence of the company, and the company will not form significant dependence on related parties. Therefore, it is agreed to submit the related party transaction proposal to the general meeting of shareholders of the company for deliberation, and the related parties need to avoid voting.
