Prior approval opinions on related party transactions
In accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shanghai Stock Exchange, the China Nuclear Engineering & Construction Corporation Limited(601611) articles of Association (hereinafter referred to as the “articles of association”) and other relevant provisions, as an independent director of China Nuclear Engineering & Construction Corporation Limited(601611) (hereinafter referred to as “the company” or “the company”), after carefully consulting relevant materials, After listening to the relevant instructions of the company and based on the principle of independent and objective judgment, we express our prior approval opinions on the following matters as follows:
Through reviewing relevant proposals, we believe that such related party transactions will not affect the independence of the company and the company will not form a significant dependence on related parties, It is agreed to submit the proposal on signing the framework agreement on daily connected transactions between the company and CNNC group (20222024) and the proposal on signing the financial service agreement between the company and CNNC finance company and CNNC finance company (20222024) to the 39th meeting of the third board of directors of the company for deliberation. When deliberating, the affiliated directors of the company shall withdraw from voting.
