Ygsoft Inc(002063) (hereinafter referred to as “the company”) the board of directors sent a notice on convening the 12th meeting of the seventh board of directors by e-mail on April 6, 2022. The meeting was held in the company’s conference room on April 6, 2022 by means of on-site communication. The meeting was presided over by Mr. Chen Lihao, chairman of the board. There were 9 directors who should attend and 9 directors who actually attended. The convening and procedures of the meeting and the number of directors attending the meeting comply with the relevant provisions of laws, regulations, rules and the articles of association.
After voting, the meeting considered and adopted the following matters:
1. The proposal on the appointment of senior managers was deliberated and adopted

The board of directors agreed to appoint Mr. Zhao Jinfeng as the president of the company. According to the nomination of Mr. Zhao Jinfeng, Mr. Li Chen is appointed as the vice president of the company.
The term of office of Mr. Zhao Jinfeng and Mr. Li Chen shall be from the date of adoption of this meeting to the date of expiration of this board of directors.
