In accordance with the guiding opinions on the establishment of independent director system in listed companies, Shenzhen Stock Exchange GEM Listing Rules, Beijing E-Hualu Information Technology Co.Ltd(300212) articles of association and other relevant provisions, as independent directors of Beijing E-Hualu Information Technology Co.Ltd(300212) (hereinafter referred to as “the company”), we, in a serious and responsible attitude, based on an independent, prudent and objective position, Carefully reviewed the relevant matters of the 22nd Meeting of the 5th board of directors of the company, and expressed the following opinions before the board of directors of the company considered the change:
1、 Proposal on providing guarantee and related party transaction for Dalian datalake Information Technology Co., Ltd. to apply for credit from Agricultural Development Bank of China
After verification, the company provided guarantee for the bank credit of the joint-stock company Dalian data Lake Information Technology Co., Ltd. (hereinafter referred to as “Dalian data Lake”), which is conducive to the construction of Dalian data Lake project and the smooth implementation of the company’s data Lake strategy. The related party guarantee does not damage the interests of the company and shareholders, especially small and medium-sized shareholders. Agree to submit the matter to the board of directors for deliberation.
