Everbright Securities Company Limited(601788) (hereinafter referred to as “the independent financial consultant” and ” Everbright Securities Company Limited(601788) “) served as the independent financial consultant of Wuxi Dk Electronic Materials Co.Ltd(300842) (hereinafter referred to as “listed company”, ” Wuxi Dk Electronic Materials Co.Ltd(300842) “) to issue shares to purchase assets and raise supporting funds and related party transactions (hereinafter referred to as “the reorganization”). Everbright Securities Company Limited(601788) made the following commitments on the principle of honesty, trustworthiness and diligence:
1. The independent financial adviser has fulfilled the obligation of due diligence in accordance with the provisions and has sufficient reasons to believe that there is no material difference between the professional opinions expressed and the documents disclosed by the listed company and the counterparty.
2. The independent financial advisor has fully verified the documents disclosed by the listed company and the counterparty, and is sure that the content and format of the disclosure documents meet the requirements.
3. The independent financial adviser has sufficient reasons to believe that this transaction complies with laws, regulations and relevant regulations of China Securities Regulatory Commission and Shenzhen Stock Exchange, and the information disclosed is true, accurate and complete, without false records, misleading statements or major omissions.
4. The independent financial advisor’s verification opinions on this transaction have been submitted to Everbright Securities Company Limited(601788) core organization for review, and the core organization agrees to issue this independent financial advisor report after review.
5. During the period from contact with the listed company to acting as an independent financial adviser, Everbright Securities Company Limited(601788) has taken strict confidentiality measures, strictly implemented the risk control and internal isolation system, and there are no problems of insider trading, market manipulation and securities fraud. In the process of serving as the independent financial adviser of the listed company for this reorganization, the independent financial adviser has conscientiously fulfilled the obligation of due diligence in strict accordance with the relevant requirements of the measures for the administration of major asset reorganization of listed companies, the contents and forms of information disclosure of companies offering securities to the public No. 26 – major asset reorganization of listed companies, and the provisions on Several Issues concerning the regulation of major asset reorganization of listed companies, We have carefully checked the relevant declaration and disclosure documents of the listed company and issued the verification opinions of the independent financial adviser.
