Operating performance assessment method

Chapter I General Provisions

Article 1 in order to establish an incentive and restraint mechanism suitable for state-controlled listed companies, fully mobilize the enthusiasm and creativity of the company’s principals and officers, promote the company’s market-oriented, legalized and international operation, and continuously improve the company’s economic benefits and operation and management level. These measures are formulated in accordance with the standards for the governance of listed companies and the articles of association and in combination with the actual situation of the company.

Article 2 the persons in charge of the enterprise mentioned in these measures include the Secretary of the Party committee, the chairman and general manager of the company and other members of the leading group, the Secretary of the board of directors and the general legal adviser of the company, excluding independent directors, directors who do not work full-time in the company and employee directors.

Article 3 the assessment of business performance shall follow the following principles:

(I) clarify the business objectives, strengthen the implementation of responsibilities, promote the preservation and appreciation of assets, and assess the business performance of the person in charge of the company according to law.

(II) according to the actual operation and management of the company, constantly improve the assessment system, give full play to the guiding role of assessment, and promote the company to consciously fulfill its economic, political and social responsibilities.

(III) adhere to the unity of responsibilities, rights and interests, and link the results of business performance assessment with the performance income of the person in charge.

Article 4 the business performance assessment of the person in charge of the company shall be conducted annually, and the assessment period shall be consistent with the Gregorian calendar year. The overall assessment shall be carried out by the board of directors and the company

Chapter II Organization and leadership

Article 5 the company shall establish a leading group for business performance assessment. The company’s business performance assessment leading group office (hereinafter referred to as “business performance assessment office”) is located in the human resources department.

Article 6 the remuneration and assessment committee of the board of directors is responsible for organizing the formulation of business performance assessment methods and the implementation of assessment work. The business performance assessment office is responsible for the formulation of business performance assessment methods and assessment organization, and the member departments are responsible for assisting in relevant work.

Chapter III overall assessment

Article 7 the board of directors shall conduct an overall assessment on the person in charge of the enterprise. The assessment indicators are divided into safety indicators, benefit indicators, management monitoring indicators and comprehensive work reward and punishment indicators.

Article 8 target value and adjustment of indicators. The board of directors of the company proposes the target value of the company’s assessment indicators. Once the target value is determined, it is generally not adjusted. If the force majeure factor has a significant impact on the business results, it shall be adjusted after the company has submitted and reported to the board of directors for approval.

Article 9 assessment and scoring. The overall assessment adopts the combination of scoring system and rating. Safety index, benefit index and management monitoring index

The basic score is 100 points in total. Among them, the safety index is 20 points, the benefit index is 60 points, and the management monitoring index is 20 points.

Evaluate the score of annual business performance assessment according to the completion of indicators. In case of “one vote veto” in the assessment indicators, the annual business performance assessment score is 0.

Annual business performance assessment score = basic score ± assessment plus (minus) score.

The assessment score shall be rounded to one decimal place.

The annual business performance assessment grade is evaluated according to the annual business performance assessment score. If the score is more than 90, it is excellent, if the score is 80 to 90, it is good, if the score is 60 to 80, it is qualified, and if the score is less than 60, it is unqualified.

Article 10 see Annex 3-1 for various indicators and scoring standards, including:

(I) the benefit index shall be subject to the upper limit of plus or minus points, and the plus or minus points shall be limited to 2 times of the basic points.

(II) the score of safety index and management monitoring index shall be limited to the basic score. (III) the reward and punishment index of comprehensive work shall be added or subtracted according to the scoring standard, and there is no upper limit.

Chapter IV classified assessment

Article 11 the company shall carry out classified assessment on other responsible persons except the Secretary of the Party committee and the chairman of the board.

Article 12 the classified assessment indicators of the company’s principals are set according to their personal post responsibilities and division of labor. See Annex 3-2 for specific indicators and scoring standards, which can be adjusted on an annual basis. The adjustment shall be proposed by the remuneration and assessment committee of the board of directors according to the opinions of the examinee and the actual situation of operation and management, and decided by the board of directors.

Article 13 the classification assessment adopts the scoring system, with a basic score of 100 points, and the person in charge is directly scored. In case of “one vote veto”, the annual score of individual classification assessment is 0.

Annual score of individual classification assessment = basic score ± assessment plus (minus) score.

The assessment score shall be rounded to one decimal place.

Chapter V assessment procedures

Article 14 overall assessment procedure.

1. Self assessment of the company. The company conducts self-assessment on the completion of various indicators according to the overall assessment indicators and scoring standards (see Annex 3-1);

2. The board of directors of the company shall review and determine the assessment results.

Article 15 classification assessment procedures.

1. Personal self-assessment. The person in charge of the company implementing classified assessment shall submit the self-assessment form for classified assessment of annual business performance assessment to the company’s business performance assessment office before the end of January of the next year of the assessment year. See Annex 3-3.

2. Summary of assessment opinions. The member Department of the company’s business performance assessment leading group puts forward assessment opinions on the completion of various classified assessment indicators of the company’s principals, and the company’s business performance assessment office is responsible for summarizing and putting forward preliminary assessment opinions.

3. Review and confirmation. The remuneration and assessment committee of the board of directors of the company shall organize the person in charge of the company to conduct the assessment, review the preliminary assessment opinions put forward by the business performance assessment office of the company, form the assessment result suggestions, synchronously study the annual business performance assessment results of the company, put forward the scheme suggestions for the annual business performance assessment of the person in charge of the company, and report to the board of directors of the company before the middle of February. The board of directors of the company deliberates and confirms the annual business performance assessment results of the company and deliberates and approves the annual classified assessment results and cash scheme of the person in charge of the company.

Chapter VI Application of assessment results

Article 16 the person in charge of the company implements the annual salary system. The annual salary consists of basic annual salary and annual performance salary. The basic annual salary consists of post salary, skill salary, length of service salary, allowance and subsidy, etc. the annual performance salary is comprehensively determined according to the overall assessment results of the company and the classified assessment results of the company.

Article 17 application of the company’s overall assessment results

1. The overall assessment results are applicable to all principals of the company. The annual salary for overall performance assessment is calculated according to the score of annual business performance assessment.

The calculation formula of overall performance appraisal annual salary is: overall performance appraisal annual salary = overall performance appraisal annual salary base × Post coefficient × Annual business performance assessment score / 100.

The annual salary base for the overall performance appraisal is based on 200000 yuan in 2022. It can be adjusted annually in the following years according to relevant regulations and the company’s operation. It shall be proposed by the company’s salary and appraisal committee and decided by the board of directors.

2. The annual salary base for the overall performance appraisal of the person in charge of the company is adjusted according to the post coefficient. The coefficient of the party secretary and chairman of the company is 1.2, the coefficient of the general manager is 1, the coefficient of other members of the company’s leading group is 0.8, and the coefficient of the Secretary of the board of directors and the general legal adviser of the company is 0.7. The basic annual salary base of the person in charge of the company can be set according to this coefficient at the same time.

3. Annual performance salary of party secretary and chairman of the company = annual performance salary of overall assessment. Article 18 application of classified assessment results of other responsible persons of the company

1. The classification assessment results are applicable to other principals of the company except the chairman of the board of directors. The annual salary for classification assessment performance is calculated according to the individual classification assessment score.

The calculation formula of annual performance salary for classified appraisal is: annual performance salary for classified appraisal = annual performance salary base for classified appraisal × Post coefficient × Individual classification assessment score / 100. Annual salary base for classified performance appraisal = ∑ annual salary for overall performance appraisal (other principals of the company) × 40% ÷∑ (individual post coefficient) × Individual classification assessment score / 100).

2. Annual performance salary of other principals of the company = annual performance salary of overall assessment × 60% + annual salary for classified performance appraisal.

In case of individual “one vote veto” in classified assessment, individuals will not receive annual performance salary. The total annual performance salary calculated by other responsible persons of the company according to the score of annual business performance assessment shall be deducted from the overall annual performance assessment salary of the responsible person, and shall not be included in the annual performance assessment salary base of the responsible person when verifying the classification assessment.

Article 19 in the assessment year, in case of job adjustment of the assessed object, the annual performance salary shall be calculated in months (full month for those who have completed 15 days or more), and the annual performance salary shall be paid according to the actual number of months in charge of the company. If the person in charge of the company is punished for violating the regulations on the construction of Party style and clean government, the annual performance salary of the party concerned shall be deducted according to the regulations, which will not affect the total annual performance salary calculated by other persons in charge according to the score of annual business performance assessment.

Article 20 other relevant matters. Implement in accordance with relevant assessment system. Chapter VII supplementary provisions

Article 21 the human resources department of the company shall be responsible for the interpretation of these measures.

Article 22 these Measures shall come into force as of January 1, 2022.
