In accordance with the company law, the rules for independent directors of listed companies, the guidelines for the governance of listed companies, the Listing Rules of Shanghai Stock Exchange and other relevant laws and regulations and the relevant provisions of the articles of association, as independent directors of Juneyao Airlines Co.Ltd(603885) (hereinafter referred to as the “company”), we have carefully considered the proposal of the 12th meeting of the Fourth Board of directors with a prudent and responsible attitude, Independent opinions on relevant matters are as follows:
1、 The voting procedures and results of the appointment of senior managers comply with the provisions of the company law, the guidelines for the governance of listed companies issued by the CSRC and other laws and regulations and the articles of association.
2、 The senior managers employed this time have relevant professional knowledge and the ability to supervise and coordinate relevant policies, are competent for the responsibilities of the positions they are employed, meet the relevant employment regulations, and are not found to be prohibited by relevant laws and regulations. They are not found to be in violation of the provisions of the company law and are determined by the CSRC to be prohibited from entering the market and the prohibition has not been lifted.
Therefore, we agree to appoint Mr. Liu Kaiyu as the vice president of the company and Mr. Zheng Xiaoming as the chief engineer of the company. The term of office starts from the date of deliberation and approval of this board of directors to the date of expiration of this board of directors.
