Hainan Drinda Automotive Trim Co.Ltd(002865) (hereinafter referred to as “the company”) convened the 17th meeting of the 4th board of directors by means of communication on April 1, 2022, deliberated and adopted the proposal on changing the business scope of the company and amending the articles of association.
This amendment shall take effect after being deliberated and approved by the general meeting of shareholders. The details are as follows:
1、 Changes in business scope
Before the change: production, sales, R & D and technical services of auto parts, molds, hardware accessories, plastic products, plastic raw materials and chemical raw materials (excluding dangerous chemicals), import and export trade. (all projects requiring administrative license shall be operated with license)
After the change: production, sales, R & D and technical services of auto parts, molds, hardware accessories, plastic products, plastic raw materials and chemical raw materials (excluding dangerous chemicals), import and export trade Cecep Solar Energy Co.Ltd(000591) photovoltaic power generation project development, construction, maintenance, operation management, technical consultation and services; R & D, processing, manufacturing and sales of monocrystalline silicon rod, monocrystalline silicon wafer, polycrystalline ingot, polycrystalline silicon wafer, high-efficiency Cecep Solar Energy Co.Ltd(000591) battery, module and photovoltaic power generation system Cecep Solar Energy Co.Ltd(000591) production and sales of raw materials and related supporting products; Self operated and acting as an agent for the import and export of photovoltaic equipment goods and technology; Construction engineering construction. (for projects subject to approval according to law, business activities can only be carried out after being approved by relevant departments) (for projects subject to approval according to law, business activities can only be carried out after being approved by relevant departments) the revised business scope shall finally be subject to the contents approved and registered by the market supervision and administration department.
2、 Amendments to the articles of Association
The details of the revision of the articles of association are as follows:

(the production and sales of Cecep Solar Energy Co.Ltd(000591) raw materials and related supporting products that need administrative license; Cecep Solar Energy Co.Ltd(000591) raw materials and related supporting products shall be operated with license); Self operated and acting as an agent for the import and export of photovoltaic equipment goods and technology; Construction engineering construction. Except for the above revised provisions, other matters not involved shall remain unchanged in accordance with the provisions of the original articles of association.
3、 Other relevant instructions
The change of business scope and the amendment of the articles of association still need to be submitted to the general meeting of shareholders for deliberation. At the same time, the board of directors of the company requests the general meeting of shareholders to authorize the company’s management to handle specific matters such as industrial and commercial change registration and the filing procedures of the articles of association. The final revision of the change content and relevant articles of association shall be subject to the registration result approved by the market supervision and administration department. It is hereby announced.
