1、 Overview of foreign investment
Suzhou xuchuang Technology Co., Ltd. (hereinafter referred to as “Suzhou xuchuang”), a wholly-owned subsidiary of Zhongji Innolight Co.Ltd(300308) (hereinafter referred to as “the company” or ” Zhongji Innolight Co.Ltd(300308) “), intends to subscribe for the capital contribution share of Hangzhou Rongteng No. 2 venture capital partnership (limited partnership) (tentative name, actual subject to industrial and commercial registration; hereinafter referred to as “Rongteng No. 2” or “fund”) with its own capital of 20 million yuan and become the limited partner of the partnership. According to Hangzhou Rongteng No.2 venture capital partnership (limited partnership) limited partnership agreement (hereinafter referred to as “this Agreement”), after the completion of this investment, the company will hold 2.00% of the capital contribution of the partnership.
According to the relevant provisions of laws and regulations such as Shenzhen Stock Exchange GEM Listing Rules, self regulatory guidelines for listed companies No. 7 – transactions and related party transactions and the articles of association, this foreign investment is within the approval authority of the president of the company for foreign investment and does not need to be deliberated by the board of directors and the general meeting of shareholders.
