As an independent director of Guangxi Guiguan Electric Power Co.Ltd(600236) (hereinafter referred to as “the company”), we are based on independent judgment in accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shanghai Stock Exchange and other relevant laws, regulations and normative documents of China Securities Regulatory Commission and the relevant provisions of the articles of association, The following independent opinions are expressed on the proposal on the election of directors (non independent directors) of the ninth board of directors and the proposal on the election of independent directors of the ninth board of directors considered at the 14th meeting of the ninth board of directors of the company:

We believe that the nominees have relevant professional knowledge and relevant decision-making, supervision and coordination ability, have the job conditions corresponding to the exercise of their functions and powers, and have not found any circumstances specified in articles 147 and 149 of the company law, And the phenomenon that the market entry is prohibited by the CSRC and relevant laws and regulations, and the prohibition has not been lifted. We believe that the qualifications of the above three candidates meet the relevant provisions of the company law and the articles of association, and the nomination procedure is legal and effective. 2. We carefully reviewed the personal resume and other relevant materials of Mr. Wei Xijian, the independent director candidate nominated by the board of directors. We believe that the nominee has relevant professional knowledge and relevant decision-making, supervision and coordination ability, and has the employment conditions corresponding to the exercise of his functions and powers. We have not found any situation specified in articles 147 and 149 of the company law, or has been determined as a market prohibited person by the CSRC and relevant regulations, And the prohibition has not been lifted. We agree to nominate Mr. Wang Qiying, Mr. Yu Fengwu, Mr. Li Xianghua and Mr. Wei Xijian as candidates for directors of the ninth board of directors of the company and submit them to the general meeting of shareholders of the company for deliberation.
