Announcement on resignation of directors and nomination of candidates for directors

Recently, the board of directors of Jiangxi Hongdu Aviation Industry Co.Ltd(600316) (hereinafter referred to as “the company”) received a written resignation report submitted by Mr. Zhou Jianhua, a director of the company. Mr. Zhou Jianhua resigned as a director of the company due to job change.
The resignation of Mr. Zhou Jianhua will not cause the board of directors of the company to be lower than the quorum. According to the relevant provisions of the company law and the articles of association, Mr. Zhou Jianhua’s resignation report shall take effect from the date when it is delivered to the board of directors of the company. After his resignation, Mr. Zhou Jianhua will no longer hold any position in the company.

According to the recommendation of the nomination committee of the board of directors of the company, on March 29, 2022, the company held the ninth meeting of the seventh board of directors, deliberated and approved the proposal on nominating candidates for directors of the company, and agreed to nominate Mr. Zhang Xin as the candidate for directors of the seventh board of directors of the company. The term of office starts from the date when the proposal is approved by the general meeting of shareholders to the date when the term of office of the current board of directors of the company expires.
The nomination committee of the company reviewed the qualification of Mr. Zhang Xin as a director in advance, considered that he met the requirements of the company law and other relevant laws, regulations and provisions, and agreed to submit the proposal to the board of directors for deliberation; The independent directors of the company expressed their independent opinions on this matter.
The proposal still needs to be submitted to the general meeting of shareholders for deliberation.
