As an independent director of Kaili Catalyst & New Materials Co.Ltd(688269) (hereinafter referred to as the “company”) in accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital transactions and external guarantees of listed companies and other laws, regulations and normative documents, as well as the relevant provisions and requirements of Kaili Catalyst & New Materials Co.Ltd(688269) articles of association and Kaili Catalyst & New Materials Co.Ltd(688269) working system for independent directors, We have checked the external guarantee of the company in 2021. Based on the principle of objectivity and impartiality, the position of independent judgment and the attitude of prudence and responsibility, we hereby issue special instructions and independent opinions as follows:
1、 Special description
In 2021, the company had no external guarantee in any form, nor any external guarantee that occurred in the previous period but lasted until the reporting period. Therefore, the company does not need to reveal the risks of external guarantee, and will not bear the guarantee liability due to the default of the guaranteed party’s debt.
2、 Independent opinion
In accordance with laws and regulations and relevant provisions of the China Securities Regulatory Commission, the company has clearly stipulated in relevant systems the authority of the general meeting of shareholders and the board of directors to examine and approve external guarantees and the system of deliberation procedures. The company strictly implemented the relevant laws and regulations and the relevant provisions of the articles of association on external guarantee, and found no damage to the rights and interests of the company and its shareholders, especially the minority shareholders.
