Xgd Inc(300130) (hereinafter referred to as “the company”) held the 17th meeting of the 5th board of directors on March 28, 2022, deliberated and adopted the proposal on updating the company’s organizational structure. According to the needs of the company’s strategic development, the company adjusted the organizational structure in order to optimize the management process and further improve the company’s management process and efficiency.

(II) transfer of equity of subsidiaries and cancellation of subsidiaries
1. In June 2021, the company signed the equity transfer agreement on Zhejiang Zhongzheng Intelligent Technology Co., Ltd. with Hangzhou Zhongzheng polymerization technology partnership (limited partnership) (hereinafter referred to as “Zhongzheng polymerization”) to transfer 15% equity of Zhejiang Zhongzheng Intelligent Technology Co., Ltd. to Zhongzheng polymerization. After the completion of this transaction, the company holds 85% equity of Zhejiang Zhongzheng Intelligent Technology Co., Ltd.
2. In December 2021, the company transferred 86% equity of Xgd Inc(300130) Wanlian Technology Communication Co., Ltd. (hereinafter referred to as ” Xgd Inc(300130) Wanlian”) held by Xgd Inc(300130) Payment Technology Co., Ltd. (hereinafter referred to as ” Xgd Inc(300130) Wanlian”) to Yu Jiansheng and 14% equity of Xgd Inc(300130) Wanlian to Feng Jin. After the completion of this transaction, Xgd Inc(300130) payment will no longer hold the equity of Xgd Inc(300130) Wanlian, and Xgd Inc(300130) Wanlian will no longer be included in the scope of the company’s consolidated statements.
3. In February 2022, the company received the cancellation certificate from Brazil nexgo Holding Co., Ltd. (hereinafter referred to as “Brazil nexgo”), a secondary wholly-owned subsidiary. Brazil nexgo has completed the cancellation procedures and is no longer included in the scope of the company’s consolidated statements.
