Announcement of annual profit distribution plan in 2021
The board of directors and all directors of the bank guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents. Important note: China Construction Bank Corporation(601939) (hereinafter referred to as “the bank”) paid a cash dividend of RMB 0.364 per share (including tax) for profit distribution in 2021. The profit distribution is based on the total share capital registered after the closing of the market on July 7, 2022. This profit distribution plan needs to be submitted to the general meeting of shareholders of the bank for deliberation.
1、 Contents of profit distribution plan
According to the audited financial report of the bank for the year ended December 31, 2021 prepared in accordance with Chinese accounting standards and international financial reporting standards, the specific profit distribution plan of the bank for 2021 is as follows:
(I) taking the bank’s after tax profit of RMB 295764 billion in 2021 as the base, withdraw the statutory reserve of RMB 29.576 billion at the proportion of 10%;
(II) in accordance with the measures for the administration of reserve provision of financial enterprises (CAI Jin [2012] No. 20) issued by the Ministry of finance, the general reserve is withdrawn in the amount of 31.202 billion yuan;
(III) pay cash dividends of rmb0.364 per share (including tax) for 2021 to all ordinary shareholders (shareholders listed in the register of shareholders after the closing of the market on July 7, 2022), with a total cash dividend of rmb91.004 billion;
(IV) in 2021, the bank did not convert capital reserve into share capital.
The proportion of cash dividends of the bank in 2021 (i.e. the proportion of cash dividends in the after tax profit attributable to the shareholders of the bank in 2021 in the consolidated statements) was 30%.
From the date of disclosure of this announcement to the date of equity registration of dividend distribution, if the total share capital of the bank changes, the adjustment of profit distribution will be announced separately.
The bank’s profit distribution plan for 2021 complies with the profit distribution policy stipulated in the articles of association of the bank. 2、 Decision making procedures performed by the bank
(I) convening, deliberation and voting of the board meeting
The bank held a meeting of the board of directors on March 29, 2022, deliberated and adopted the proposal on the profit distribution plan of China Construction Bank Corporation(601939) 2021, agreed to the profit distribution plan and agreed to submit the plan to the general meeting of shareholders of the bank for deliberation.
(II) opinions of independent directors
The independent directors believe that the bank’s profit distribution plan for 2021 complies with relevant laws and regulations and the relevant provisions of the articles of association, and there is no damage to the legitimate rights and interests of the bank and minority shareholders. The independent directors agreed to the profit distribution plan.
(III) opinions of the board of supervisors
The board of supervisors of the bank held a meeting of the board of supervisors on March 29, 2022, deliberated and adopted the proposal on profit distribution plan in 2021, and agreed to this profit distribution plan.
3、 Relevant risk tips
This profit distribution plan needs to be submitted to the general meeting of shareholders of the bank for deliberation.
