(I) in September 2009, the company was established
Suzhou ousheng Electric Industry Co., Ltd. (hereinafter referred to as “ousheng Co., Ltd”) was invested and established by foreign-funded enterprise Alton science Enterprises Limited (formerly Alton Enterprises Limited, renamed as Alton science Enterprises Limited on November 14, 2013, hereinafter referred to as “ousheng technology”) on September 25, 2009.
On July 27, 2009, ousheng technology signed the articles of association, which agreed that ousheng technology would establish a wholly-owned Suzhou ousheng Electric Industry Co., Ltd. (hereinafter referred to as “ousheng Co., Ltd”), with a total investment of US $99 million and a registered capital of US $40 million.
On July 27, 2009, the Department of foreign trade and economic cooperation of Jiangsu Province issued the reply on Approving the establishment of Suzhou ousheng Electric Industry Co., Ltd. (suwaijingmao Zishen Zi [2009] No. 17082), agreeing to establish a wholly-owned Suzhou ousheng Electric Industry Co., Ltd.
On July 31, 2009, ousheng Co., Ltd. obtained the approval certificate of the people’s Republic of China for enterprises invested by Taiwan, Hong Kong, Macao and overseas Chinese (Shang Wai Su Fu Zi [2009] No. 82260) issued by the people’s Government of Jiangsu Province.
On September 25, 2009, ousheng Co., Ltd. was approved and registered by Suzhou Wujiang Administration for Industry and Commerce and obtained the business license of enterprise legal person (Registration No.: 3205844 Shijiazhuang Changshan Beiming Technology Co.Ltd(000158) 08).

(IV) in June 2013, the company reduced its registered capital and its third paid in capital contribution. On September 19, 2012, the shareholder of the company made a shareholder decision: the total investment of the company was reduced from US $99 million to US $29.8 million, and the registered capital was reduced from us $40 million to US $20 million. On December 11, 2012, the Department of Commerce of Jiangsu Province issued the reply on Approving the capital reduction of Suzhou ousheng Electric Industry Co., Ltd. (Su Shang Zi Shen Zi [2012] No. 17074), agreeing to reduce the total investment of ousheng Co., Ltd. from US $99 million to US $29.8 million and the registered capital from US $40 million to US $20 million.
On January 5, 2013, eucheng Co., Ltd. made the statement on debt repayment of eucheng Electric Industry Co., Ltd. according to the statement, eucheng Co., Ltd. has notified all creditors within 10 days from the date of making the capital reduction resolution, and issued the capital reduction announcement on Xinhua Daily on October 21, 2012. As of January 5, 2013, Eurovision Co., Ltd. has paid off the debts declared by the creditors of capital reduction.
On January 6, 2013, ousheng Co., Ltd. obtained the approval certificate of the people’s Republic of China for enterprises invested by Taiwan, Hong Kong, Macao and overseas Chinese (Shang Wai Su Fu Zi [2009] No. 82260) issued by the people’s Government of Jiangsu Province.
From March 2012 to June 2013, the shareholder of Ou Sheng Technology Co., Ltd. contributed US $119996 million in installment currency, and the paid in capital of the company increased to US $20 million, accounting for 100% of the registered capital.
