In accordance with the relevant provisions of China Securities Regulatory Commission, Shanghai Stock Exchange and Datang International Power Generation Co.Ltd(601991) articles of association, as an independent director of Datang International Power Generation Co.Ltd(601991) (“Datang International” or “the company”), he carefully checked the external guarantee of the company in 2021. The relevant explanations and independent opinions are as follows:
At the beginning of 2021, the amount of guarantee and counter guarantee provided by Datang International and its affiliated companies to its subsidiaries, joint-stock companies and affiliated companies was 6.329 billion yuan (RMB, the same below), and at the end of 2021 was 5.242 billion yuan, of which the balance of guarantee provided by Datang International’s parent company to internal units of the company was 2.124 billion yuan and the balance of guarantee provided to external units of the company was 2.238 billion yuan (including 1.959 billion yuan of counter guarantee to China Datang Group Co., Ltd.); The guarantee balance of Datang Heilongjiang Power Generation Co., Ltd. affiliated to Datang International to its subsidiaries is 875 million yuan, and the guarantee balance of Yuneng (Group) Co., Ltd. affiliated to Datang International to its subsidiaries is 05 million yuan. The guarantee amount at the end of 2021 decreased by 1.087 billion yuan compared with that at the beginning of the year. Up to now, Datang International has no illegal external guarantee.
We believe that the company strictly implemented the relevant laws and regulations and the relevant provisions of the articles of association on external guarantee, controlled the risk of external guarantee, and found no damage to the rights and interests of the company and its shareholders, especially small and medium-sized shareholders.
