1、 Special description
1. As of December 31, 2021, the company has no overdue guarantee for wholly-owned and holding subsidiaries (grandchildren). For the above guarantee matters, the company has fulfilled the decision-making approval and information disclosure procedures in accordance with relevant regulations.
2. In 2021, the company did not provide guarantees for controlling shareholders and their affiliates, any unincorporated units or individuals.
3. In 2021, the capital transactions between the company and related parties were normal operating capital transactions, and there was no illegal occupation of the company’s funds by related parties.
2、 Independent opinion
We believe that in 2021, the decision-making procedures of the company’s external guarantee comply with the relevant provisions of the company law, the Listing Rules of Shanghai Stock Exchange and the articles of association. The guarantee provided by the company for wholly-owned and holding subsidiaries (grandchildren) complies with the provisions of laws and regulations and the articles of Association. The approval procedures are perfect and the information disclosure is compliant, without harming the interests of shareholders. During the reporting period, the capital transactions between the company and related parties were normal operating capital transactions, and there was no illegal occupation of the company’s funds by new related parties.
