1. On January 2, 2018, the Construction Engineering Group merged with the hydropower group. The Construction Engineering Group became the indirect controlling shareholder of the company, and the hydropower group was the direct controlling shareholder of the company.
2. According to the decision-making and deployment of the people’s Government of Guangdong Province and the state owned assets supervision and Administration Commission of Guangdong Province, it is agreed to change the investor of construction engineering holding to the people’s Government of Guangdong Province (holding 90%) and the Department of finance of Guangdong Province (holding 10%), and transfer 100% of the equity of the group held by the people’s Government of Guangdong Province and the Department of finance of Guangdong Province to construction engineering holding free of charge. On December 16, 2021, the industrial and commercial registration status (if any) of construction engineering holding and construction engineering group was changed, and the shareholders of construction engineering group were changed from Guangdong Provincial People’s Government (state owned assets supervision and Administration Commission of Guangdong Provincial People’s government, holding 90%) and Guangdong Provincial Department of Finance (holding 10%). Construction Engineering holdings became the indirect controlling shareholder of the company.

With the consent of construction engineering holdings, 100% equity of Hydropower Group held by construction engineering group and 36.48% shares of the company held by hydropower group shall be transferred to construction engineering holdings free of charge. On December 16, 2021, hydropower group completed the change of industrial and commercial registration, and the shareholder of hydropower group was changed from construction engineering group to construction engineering holding. On December 29, 2021, hydropower group transferred its 438592930 shares of the company to construction engineering holdings. After the transfer is completed, the controlling shareholder of the company is construction engineering holdings.
