Pingdingshan Tianan Coal Mining Co.Ltd(601666) (hereinafter referred to as “the company”) the board of directors recently received a written resignation application submitted by Mr. Lu Yiyu, an independent director. Mr. Lu Yiyu is not suitable to continue to serve as an independent director due to his job change, and requests to resign from the position of independent director and chairman of the nomination committee of the board of directors.
Since Mr. Lu Yiyu’s resignation as an independent director will result in the number of independent directors of the company being less than one-third of the members of the board of directors, according to the guiding opinions on the establishment of an independent director system in listed companies and the relevant provisions of the articles of association of the CSRC, Mr. Lu Yiyu’s resignation will take effect after the new independent directors are elected by the general meeting of shareholders to fill the vacancy. During this period, Mr. Lu Yiyu will continue to perform the relevant duties of the independent director and the chairman of the nomination committee of the board of directors in accordance with relevant laws and regulations and the articles of association.
Mr. Lu Yiyu’s resignation will not affect the normal operation of relevant work of the company. After his resignation, Mr. Lu Yiyu will no longer hold other positions in the company. During his tenure as an independent director of the company, Mr. Lu Yiyu worked diligently and played an active role in the standardized operation and healthy development of the company.
