Special instructions on fund occupation and external guarantee
According to the requirements of China Securities Regulatory Commission and Shanghai Stock Exchange on capital transactions and external guarantees between listed companies and related parties, as an independent director, we checked the company’s external guarantees and capital transactions between related parties in 2021 and issued the following statement:
1. Description of capital occupation by controlling shareholders and other related parties
The company has hired ShineWing Certified Public Accountants (special general partnership) to make a special explanation on the occupation of funds between the company and its controlling shareholders and other related parties. As of December 31, 2021, the controlling shareholders and related parties of the company did not occupy the company’s funds, nor did they occupy funds illegally in previous years and accumulated to December 31, 2021.
2. Description of external guarantee of the company
(1) The company does not provide guarantee or mortgage for the controlling shareholder, any unincorporated unit or individual, and the controlling shareholder and its affiliates do not force the company to provide guarantee for others.
(2) In addition to providing undue guarantees for joint-stock companies in previous years, during the reporting period, the company newly provided guarantees for mortgage loans of wholly-owned subsidiaries. The above guarantees have fulfilled the approval procedures and information disclosure obligations, and there are no illegal guarantees. In addition to the above guarantees provided for subsidiaries, there are no other external guarantees or overdue guarantees.
