Announcement on the remuneration of directors and senior managers in 2021 and the remuneration and assessment scheme in 2022

Longshine Technology Group Co.Ltd(300682) (hereinafter referred to as “the company”) the 37th meeting of the third board of directors was held on March 25, 2022. The meeting deliberated and adopted the proposal on the remuneration of directors and senior managers in 2021 and the remuneration and assessment plan in 2022. This proposal needs to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation and approval. The details are hereby announced as follows:

1、 Basic information

In 2021, the company actually paid allowances to independent directors according to the annual allowance standard of 120000 yuan (before tax); The company has not paid any remuneration and allowances to non independent directors who do not hold office in the company; The remuneration of the company’s internal directors is determined according to their positions, working years and performance appraisal results, and no director’s remuneration is paid separately; The company conducted performance appraisal for senior managers in accordance with the 2021 annual salary and performance appraisal plan for directors and senior managers approved by the board of directors, and paid corresponding amounts of salary and bonus according to the appraisal results.

At the same time, the company has formulated the remuneration and assessment plan for directors and senior managers in 2022 in combination with the main responsibilities, job competency and salary level of relevant industries of directors and senior managers:

1. Non independent directors who do not hold office in the company shall not receive remuneration and allowances in the company;

2. The remuneration of internal directors of the company is determined according to their positions, working years and performance appraisal results,

3. According to the professional quality, competence and performance of independent directors, combined with the region, industry and business scale of the company, and with reference to the salary level of Listed Companies in the same industry, the company proposes to confirm the allowance standard for independent directors as 120000 yuan per year (before tax), and the allowance for independent directors shall be paid on a monthly basis;

4. The salary of senior managers in 2022 consists of fixed salary and annual bonus, which is determined according to their position, working years and performance appraisal results. The human resources department of the company shall propose specific salary indicators according to the salary plan and performance evaluation results, which shall be implemented after being approved by the chairman.

2、 Opinions of independent directors

We believe that the remuneration paid by the company to non independent directors and senior managers is determined by comprehensive measurement based on the company’s annual operating performance, assessment indicators, workload, regional income level and other factors. There is no situation that damages the interests of the company and shareholders, and it complies with relevant national laws, regulations and the provisions of the articles of association. Therefore, we agree with the remuneration payment of non independent directors and senior managers of the company in 2021. In addition, the company’s remuneration and assessment plan for non independent directors and senior managers in 2022 is formulated based on the company’s industry, with reference to the remuneration level of enterprises of the same scale, combined with the company’s actual operation and the performance of relevant personnel. The formulation procedure of the plan is legal and effective, there is no damage to the interests of the company and shareholders, and is in line with relevant national laws, regulations and the articles of association. Therefore, we agree to the remuneration and assessment plan for non independent directors and senior managers in 2022 formulated by the board of directors of the company.
