Announcement on 2021 profit distribution plan

Shenzhen Institute Of Building Research Co.Ltd(300675) (hereinafter referred to as “the company”) the third regular meeting of the third board of directors deliberated and approved the company’s profit distribution plan for 2021 on March 24, 2022. This proposal needs to be submitted to the company’s 2021 annual general meeting for deliberation. The details are as follows:
1、 Basic information of profit distribution plan
According to the company’s 2021 annual audit report issued by KPMG Huazhen Certified Public Accountants (special general partnership), the parent company realized a net profit of 2438711278 yuan in 2021. After withdrawing 10% of the statutory surplus reserve of 243871128 yuan in accordance with the articles of association, the distributable profit of the parent company in that year was 2194840150 yuan. As of December 31, 2021, the profit available to shareholders of the parent company is 15133891912 yuan. In 2021, the company realized a net profit of 4450679056 yuan attributable to the shareholders of the listed company, and the distributable profit attributable to the shareholders of the listed company after withdrawing the surplus reserve was 4206807928 yuan.
2、 The company plans to distribute cash dividends to all shareholders based on the total share capital of 146666700 shares, and distribute cash of 1.00 yuan (including tax) for every 10 shares, with a total of 1466667000 yuan (including tax), accounting for 34.86% of the profit of 4206807928 yuan available for distribution to shareholders of listed companies after withdrawing surplus reserves in 2021. The remaining undistributed profits are rolled over to the next year to support the operation and development of the company.
3、 Opinions of independent directors
The independent directors of the company believe that the company’s profit distribution plan for 2021 is in line with the provisions of the articles of association and the current actual situation of the company, is conducive to sharing the operating results of the company’s growth with all shareholders, matches the company’s performance, is consistent with the company’s growth, is conducive to the sustainable, stable and healthy development of the company, and does not damage the interests of the company and its shareholders. Therefore, the independent directors of the company agreed to the 2021 annual profit distribution plan proposed by the board of directors and agreed to submit the plan to the 2021 annual general meeting of shareholders of the company for deliberation.
