(hereinafter referred to as “research control automation”) to be listed on the gem:
The company and research control automation have the conditions for spin off listing. This spin off listing is commercially reasonable and conducive to safeguarding the legitimate rights and interests of the company, shareholders and creditors. The spin off listing is feasible. We recognize this spin off, And unanimously agreed to submit the proposal on Shenzhen Topband Co.Ltd(002139) spin off the subsidiary Shenzhen Research Control Automation Technology Co., Ltd. to the gem listing plan of Shenzhen Stock Exchange and other relevant proposals to the board of directors of the company for deliberation.
