Announcement on resolutions of the 51st meeting of the 8th board of directors

The 51st meeting of the 8th board of directors of Shenzhen Agricultural Products Group Co.Ltd(000061) (hereinafter referred to as “the company”) was held by means of communication voting at 10:00 a.m. on Thursday, March 24, 2022. The notice of the meeting will be sent in writing or e-mail on March 21, 2022. 11 directors shall be present at the meeting, and 11 directors shall actually be present. The meeting was held in accordance with the provisions of the company law and the articles of association. The meeting was presided over by Mr. Huang Wei, chairman of the board. After careful deliberation and voting by all directors present, the following proposals were adopted:
Proposal on applying to the bank for comprehensive credit line
Some bank credit lines of the company are about to expire. In order to ensure that the company has sufficient bank credit lines, it is agreed that the company applies for comprehensive credit lines from the following five banks, as follows: 1. Apply for comprehensive credit lines not exceeding RMB 1.2 billion from Agricultural Bank Of China Limited(601288) Shenzhen Branch.
2、 Apply to China Everbright Bank Company Limited Co.Ltd(601818) Shenzhen Branch for a comprehensive credit line of no more than 600 million yuan.
3、 Apply to Ping An Bank Co.Ltd(000001) Shenzhen Branch for a comprehensive credit line of no more than 600 million yuan.
4、 Apply to the Agricultural Development Bank of China Shenzhen Branch for a comprehensive credit line of no more than RMB 1 billion.
5、 Apply to Shenzhen Branch of China Development Bank for a comprehensive credit line of no more than RMB 1 billion.
The above comprehensive credit line with a total of no more than 4.4 billion yuan, with a term of no more than three years, is guaranteed by credit guarantee.
