As an independent director of Everbright Securities Company Limited(601788) , we investigated and understood the company’s external guarantee as of December 31, 2021, and issued independent opinions and special instructions as follows: 1. During the reporting period, The guarantee items of the company mainly include: providing net capital guarantee for Guangzheng asset management, a wholly-owned subsidiary, and providing guarantee for overseas loans of Guangzheng financial holding, a wholly-owned subsidiary. As of December 31, 2021, the above guarantee balance was about RMB 5.247 billion. The guarantee items of the company’s holding subsidiaries mainly include: the loan guarantee and financing guarantee provided by the company’s wholly-owned subsidiary Guangzheng financial holding and its subsidiaries to meet the business development of its subsidiaries. As of December 31, 2021, the above guarantee balance was about RMB 1.681 billion.
2. The above guarantee matters comply with the requirements of relevant laws and regulations, and there is no damage to the legitimate rights and interests of the company and other shareholders.
3. During the reporting period, the company did not provide any guarantee to the controlling shareholders, actual controllers and their related parties, which fully protected the legitimate rights and interests of the company and all shareholders.
