As an independent director of Costar Group Co.Ltd(002189) (hereinafter referred to as “the company”), we are based on the principle of seeking truth from facts in accordance with the relevant provisions of the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange and the working system of independent directors of China Securities Regulatory Commission, After careful verification of the matters considered at the 28th (Interim) meeting of the Fifth Board of directors of the company, we hereby express our independent opinions on the relevant situations as follows:
1、 Independent opinions on matters related to the resignation of the general manager of the company
After verification, Mr. Li Zhichao applied to resign as the general manager of the company due to job adjustment. According to relevant laws and regulations and the articles of association, Mr. Li Zhichao’s resignation report takes effect when it is delivered to the board of directors, and the reason for his resignation is consistent with the actual situation. We believe that the above matters will not affect the normal operation of the company and will not adversely affect the development of the company. We agree with Mr. Li Zhichao to resign as general manager of the company Costar Group Co.Ltd(002189) independent directors: Jiang Huilin, Liu Shuwei, Wang Tengjiao March 23, 2022
