Verification opinions on the list of incentive objects (after adjustment)
Eternal Asia Supply Chain Management Ltd(002183) (hereinafter referred to as “the company”) the board of supervisors in accordance with the company law of the people’s Republic of China (hereinafter referred to as “the company law”), the securities law of the people’s Republic of China (hereinafter referred to as “the securities law”), the measures for the administration of equity incentive of listed companies (hereinafter referred to as “the management measures”), and the Eternal Asia Supply Chain Management Ltd(002183) articles of Association (hereinafter referred to as “the articles of association”) and other relevant provisions, After reviewing the list of incentive objects (after adjustment) of the company’s 2022 stock option incentive plan (hereinafter referred to as “this incentive plan”), the verification opinions are as follows:
1. The incentive objects granted by this incentive plan do not have the circumstances that Article 8 of the administrative measures shall not become incentive objects:
(1) Being identified as an inappropriate candidate by the stock exchange within the last 12 months;
(2) In the last 12 months, it has been identified as an inappropriate candidate by the CSRC and its dispatched offices;
(3) Being administratively punished by the CSRC and its dispatched offices or taking market entry prohibition measures for major violations of laws and regulations in the last 12 months;
(4) Those who are not allowed to serve as directors or senior managers of the company as stipulated in the company law;
(5) Those who are not allowed to participate in the equity incentive of listed companies according to laws and regulations;
(6) Other circumstances recognized by the CSRC.
2. The incentive objects granted by this incentive plan are all directors, senior managers, middle and senior managers and core backbone personnel who work in the company when the company implements this incentive plan, as well as other personnel that the board of directors of the Company deems necessary to be encouraged (including the management and backbone employees of subsidiaries), excluding independent directors, supervisors Foreign employees and shareholders or actual controllers who individually or jointly hold more than 5% of the shares of the company and their spouses, parents and children.
3. The incentive objects granted by this incentive plan have the qualifications specified in the company law, securities law and other relevant laws, regulations, normative documents and the articles of association, meet the conditions of incentive objects specified in the management measures, and meet the scope of incentive objects specified in the 2022 stock option incentive plan (Draft). Their subject qualification as the incentive objects of this incentive plan is legal and effective.
4. Except that one employee leaves the company and no longer meets the qualification of the incentive object of the incentive plan, the incentive object of the stock option granted this time is consistent with the incentive object specified in the incentive plan deliberated and approved by the second extraordinary general meeting of shareholders of the company in 2022.
