Announcement on the remuneration of directors, supervisors and senior managers in 2022

Hunan Xiangjia Animal Husbandry Company Limited(002982) (hereinafter referred to as “the company”) held the 9th meeting of the 4th board of directors on March 22, 2022, deliberated and adopted the proposal on the remuneration of directors in 2022 and the proposal on the remuneration of senior managers in 2022, and held the 6th meeting of the 4th board of supervisors on the same day, deliberated and adopted the proposal on the remuneration scheme of supervisors in 2022. Among them, the proposal on the remuneration of directors in 2022 and the proposal on the remuneration scheme of supervisors in 2022 need to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation. Now, the relevant information about the remuneration scheme of directors, supervisors and senior managers in 2022 is announced as follows:

1、 Salary principle

(I) principle of responsibility: the basic salary standard shall be determined according to the working post, work performance, contribution and the combination of rights and responsibilities.

(II) performance principle: performance compensation is linked to the completion of individual post responsibility objectives, and combined with the company’s business performance, work innovation, rewards and punishments, annual performance appraisal results, etc.

(III) principle of overall consideration: the salary scheme is linked to the company’s business performance and the completion of business objectives.

(IV) competition principle: pay attention to the marketization of income, formulate a reasonable salary structure proportion, and maintain the attractiveness of the company’s salary and its competitiveness in the market, which is conducive to the company’s attraction of talents.

2、 Compensation scheme

(I) directors of the company (including independent directors)

1. The allowance for independent directors of the company is 50000 yuan / year (including tax);

2. The remuneration of the company’s directors holding specific positions in the company is determined according to their positions, working years and performance appraisal results. The remuneration consists of basic salary, performance salary and other remuneration. (II) supervisors of the company

Supervisors who hold specific positions in the company receive remuneration corresponding to their positions, which consists of basic remuneration, performance remuneration and other remuneration.

(III) senior management of the company

The salary of the company’s senior managers consists of basic salary and performance bonus. The basic salary is determined by referring to the similar salary standards in the market and considering the factors such as position, responsibility and ability. The basic salary is paid on an average monthly basis. The performance bonus shall be determined in combination with the annual performance appraisal results. The salary level is linked to its responsibilities, risks and business performance.

3、 Other instructions

1. The remuneration and allowances of directors, supervisors and senior managers of the company are pre tax income, and the personal income tax involved shall be uniformly withheld and paid by the company. The salary level of the company’s directors (excluding independent directors), supervisors and senior managers is linked to the completion of the company’s annual business indicators and personal performance evaluation. The salary and evaluation committee specifically organizes and implements the annual performance evaluation of the evaluation objects and supervises the implementation of the salary system.

2. If the directors, supervisors and senior managers of the company leave their posts due to the change of office, re-election, resignation within the term of office and other reasons, they shall be calculated and paid according to the actual term of office.
