Beijing New Building Materials Public Limited Company(000786) (hereinafter referred to as “the company”) deliberated and adopted the proposal on external guarantee of the company and its holding subsidiaries at the 14th meeting of the sixth board of directors. The details are as follows:
1、 Overview of guarantee
(I) Taishan gypsum Co., Ltd. (hereinafter referred to as Taishan gypsum) is a wholly-owned subsidiary of the company. Taishan gypsum wholly owns Taishan gypsum (Tongling) Co., Ltd. (hereinafter referred to as Tongling Taishan), Taishan gypsum (Sichuan) Co., Ltd. (hereinafter referred to as Sichuan Taishan), Taishan gypsum Chongqing Qijiang Co., Ltd. (hereinafter referred to as Qijiang Taishan), verda (Liaoning) environmental protection materials Co., Ltd. (hereinafter referred to as verda Liaoning) Taishan gypsum (Liaoning) Co., Ltd. (hereinafter referred to as Liaoning Taishan), Taishan gypsum (Guangdong) Co., Ltd. (hereinafter referred to as Guangdong Taishan), Taishan gypsum (Yunnan) Co., Ltd. (hereinafter referred to as Yunnan Taishan), Guizhou Taifu gypsum Co., Ltd. (hereinafter referred to as Taifu gypsum), Hubei Taishan Building Materials Co., Ltd. (hereinafter referred to as Lunan Taishan) and other 17 subsidiaries. The wholly-owned subsidiaries of Taishan gypsum are in good operation and credit status. In order to meet the normal production and operation needs of the above-mentioned wholly-owned subsidiaries of Taishan gypsum, Taishan gypsum plans to provide working capital loan guarantee of no more than RMB 615 million for the above-mentioned 17 subsidiaries during the relevant period from the date of approval of this proposal by the general meeting of shareholders to the date of holding the annual general meeting of shareholders in 2022, as follows:
1. Taishan gypsum provides guarantee for the working capital loan of 20 million yuan of Taishan gypsum (Tongling) Co., Ltd. in Bank Of China Limited(601988) Tongling branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
2. Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Taishan gypsum (Sichuan) Co., Ltd. in Industrial And Commercial Bank Of China Limited(601398) Shifang sub branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
3. Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Taishan gypsum Chongqing Qijiang Co., Ltd. in Industrial And Commercial Bank Of China Limited(601398) Qijiang sub branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
4. Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Taishan gypsum Chongqing Qijiang Co., Ltd. in China Construction Bank Corporation(601939) Chongqing Qijiang sub branch. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
If the loan of Liaoning Taishan environmental protection Co., Ltd. is guaranteed to be repaid in advance, the working capital of Fushun Taishan environmental protection Co., Ltd. shall not exceed RMB 2000 yuan; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
6. Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Taishan gypsum (Liaoning) Co., Ltd. in China Construction Bank Corporation(601939) Huludao branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.

Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Taishan gypsum (Guangdong) Co., Ltd. in Industrial And Commercial Bank Of China Limited(601398) BOLUO sub branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.

Taishan gypsum provides guarantee for the working capital loan of 40 million yuan of Taishan gypsum (Yunnan) Co., Ltd. in LiuJie sub branch of Yunnan Yimen Rural Commercial Bank Co., Ltd. with a loan term of no more than one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
9. Taishan gypsum provides guarantee for the working capital loan of RMB 20 million of Guizhou Taifu gypsum Co., Ltd. in Industrial And Commercial Bank Of China Limited(601398) Fuquan sub branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
10. Taishan gypsum provides guarantee for the working capital loan of 50 million yuan of Hubei Taishan Building Materials Co., Ltd. in Bank Of China Limited(601988) Jingmen Branch. The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.

The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.

Taishan gypsum provides guarantee for the working capital loan of 10 million yuan of Taishan gypsum (Fujian) Co., Ltd. in Jiaoyang branch of Fujian Shanghang Rural Commercial Bank Co., Ltd., with a loan term of no more than one year and prepayment; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.

The loan term shall not exceed one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
20. Taishan gypsum provides guarantee for the working capital loan of 30 million yuan of Shandong Lunan Taishan gypsum Co., Ltd. in Bank Of China Limited(601988) Zaozhuang Xuecheng sub branch. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years after the expiration of the loan term, and the guarantee method shall be joint and several liability guarantee.
(II) mengpai New Material Co., Ltd. (hereinafter referred to as mengpai new material) is a holding subsidiary of the company, with a shareholding ratio of 70%. Mengpai new material (Xuancheng) Co., Ltd. (hereinafter referred to as mengpai Xuancheng) and mengpai new material (Ningguo) Co., Ltd. (hereinafter referred to as mengpai Ningguo) are wholly-owned subsidiaries of mengpai new material. At present, mengpai new material and its subsidiaries are in good operation and credit status. In order to meet the normal production and operation needs of mengpai new materials and its subsidiaries, during the relevant period from the date of approval of this proposal by the general meeting of shareholders of the company to the date of holding the annual general meeting of shareholders of the company in 2022, the company plans to provide mengpai new materials and its subsidiaries with working capital loan guarantee and comprehensive credit guarantee with a total amount of no more than RMB 147 million according to the shareholding ratio, as follows:
1. Provide guarantee for the working capital loan of no more than RMB 50 million of mengpai new materials in Industrial And Commercial Bank Of China Limited(601398) Pingyi sub branch according to the shareholding ratio (i.e. 70%) of the company. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years from the date of expiration of the loan term, and the guarantee method is joint and several liability guarantee.
2. Provide guarantee for the comprehensive credit of no more than RMB 50 million of mengpai new materials in China Merchants Bank Co.Ltd(600036) Linyi Branch according to the shareholding ratio (i.e. 70%) of the company. The loan term of the credit is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years from the expiration date of the credit loan, and the guarantee method is joint and several liability guarantee.
3. Provide guarantee for the working capital loan of no more than 20 million yuan of mengpai new materials in Bank Of China Limited(601988) Pingyi sub branch according to the shareholding ratio (i.e. 70%) of the company. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years from the date of expiration of the loan term, and the guarantee method is joint and several liability guarantee.

Provide guarantee for the working capital loan of no more than RMB 10 million of mengpai Xuancheng in Bank Of China Limited(601988) Xuancheng Branch according to the shareholding ratio (i.e. 70%) of the company. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years from the date of expiration of the loan term, and the guarantee method is joint and several liability guarantee.

Provide guarantee for the working capital loan of no more than RMB 10 million of mengpai Xuancheng in Shanghai Pudong Development Bank Co.Ltd(600000) Xuancheng Branch according to the shareholding ratio (i.e. 70%) of the company. The loan term is no more than one year and can be repaid in advance; The guarantee period shall be no more than three years from the date of expiration of the loan term, and the guarantee method is joint and several liability guarantee.

Beixin waterproof holds 100% equity of Beixin Yuwang Waterproof Technology Group Co., Ltd. (hereinafter referred to as Beixin Yuwang), 100% equity of Sichuan Shuyang waterproof material Co., Ltd.
