Independent opinions on the general election of the board of directors of the company
In view of the expiration of the sixth board of directors of Beijing New Building Materials Public Limited Company(000786) (hereinafter referred to as the company), in accordance with the company law, the rules for independent directors of listed companies, the standards for governance of listed companies and other laws, regulations and normative documents, as well as the articles of Association, the independent director system and other internal rules and regulations of the company, we are the independent directors of the company, Having carefully studied the proposal on the general election of non independent directors of the seventh board of directors and the proposal on the general election of independent directors of the seventh board of directors deliberated at the 14th meeting of the sixth board of directors of the company, I hereby express my independent opinions on the general election of the board of directors involved in the proposal as follows:
1. The candidates for directors and independent directors are nominated by the controlling shareholder of the company, China Building Materials Co., Ltd., and approved by the nomination committee of the board of directors. The nomination procedure is in line with the relevant provisions of the articles of association and the working rules of the nomination committee of the board of directors.
2. After carefully reviewing the occupation, educational background, professional title, detailed work experience and all part-time jobs of the candidates for directors and independent directors, we believe that the non independent director candidates Mr. Yin Zibo, Mr. Jia Tongchun, Mr. management, Mr. Chen Xuean, Mr. Song Bolu, Mr. Ye Yingchun and independent director candidates Ms. Wang Jingda, Mr. Zhang Kun and Ms. Li Xinzi have relevant professional knowledge and relevant decision-making, supervision Ability to coordinate and be competent for the proposed position. It is not subject to the provisions of Article 146 of the company law of the people’s Republic of China, nor is it determined by the CSRC to be prohibited from entering the market, and it complies with the relevant provisions on the qualification of directors in laws, regulations, normative documents and the company’s internal rules and regulations. The candidates for independent directors, Ms. Wang Jingda, Mr. Zhang Kun and Ms. Li Xinzi, comply with the provisions on the qualifications of independent directors in laws, regulations, normative documents and the company’s internal rules and regulations.
3. Agree to nominate Mr. Yin Zibo, Mr. Jia Tongchun, Mr. management, Mr. Chen Xuean, Mr. Song Bolu and Mr. Ye Yingchun as candidates for non independent directors of the seventh board of directors of the company, agree to nominate Ms. Wang Jingda, Mr. Zhang Kun and Ms. Li Xinzi as candidates for independent directors of the seventh board of directors, and agree to submit them to the general meeting of shareholders of the company for deliberation.
