According to the guiding opinions on the establishment of independent director system in listed companies, the standards for the governance of listed companies, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, and the notice on regulating the external guarantee behavior of listed companies (zjf [2005] No. 120) (hereinafter referred to as “document 120”) As an independent director of Beijing New Building Materials Public Limited Company(000786) (hereinafter referred to as the company), I hereby give special instructions and independent opinions on the occupation of the company’s funds and external guarantees by the company’s controlling shareholders and other related parties as follows:
1. As of December 31, 2021, the balance of non operating funds occupied by the controlling shareholders and their related parties of the company was 0.
2. Since its listing, the company has strictly complied with the Listing Rules of Shenzhen Stock Exchange, zjf [2005] No. 120 document and the relevant provisions of the articles of association. The company has no illegal guarantee matters in the cumulative and reporting period. As of December 31, 2021, the total guarantee amount of the company was 898852000 yuan, accounting for 4.74% of the net assets of 18944892600 yuan belonging to the parent company in the audited consolidated accounting statements on December 31, 2021. The total guarantee amount of the company is the guarantee of the company to the subsidiaries within the scope of consolidated statements and between the subsidiaries within the scope of consolidated statements. Meanwhile, during the reporting period, the company conscientiously fulfilled the decision-making procedures and information disclosure obligations of external guarantee in strict accordance with the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, Document No. 120 and the articles of association.
