In accordance with the company law, the guiding opinions on the establishment of independent director system in listed companies, the guidelines for the standardized operation of listed companies and other laws, regulations and normative documents, as well as the articles of association of Beijing Shiji Information Technology Co.Ltd(002153) (hereinafter referred to as ” Beijing Shiji Information Technology Co.Ltd(002153) ” or “the company”), the working system of independent directors and other relevant provisions, we are independent directors of Beijing Shiji Information Technology Co.Ltd(002153) , Carefully checked the proposal on terminating the planning of spin off and listing of holding subsidiaries deliberated at the first extraordinary meeting of the seventh board of directors in 2022, and expressed the following independent opinions:
After verification, the termination of this spin off will not adversely affect the company’s existing production and operation activities and financial status, nor will it affect the company’s future development strategy.
We believe that this matter does not harm the interests of the company and all shareholders, especially minority shareholders. We agree that the company will stop planning the spin off and listing of its holding subsidiaries.
