Chapter I General Provisions
Article 1 in order to standardize the social responsibility management of Inner Mongolia Tianshou Technology&Development Co.Ltd(000611) (hereinafter referred to as “the company”), promote the company to fulfill its social responsibilities, meet the requirements of the scientific outlook on development and building a harmonious society, and enhance its core competitiveness and sustainable development ability, This system is formulated in accordance with the company law of the people’s Republic of China, the basic norms of enterprise internal control, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other laws and regulations, as well as the Inner Mongolia Tianshou Technology&Development Co.Ltd(000611) articles of Association (hereinafter referred to as the “articles of association”).
Article 2 the term “social responsibility” as mentioned in this system refers to that while pursuing economic benefits and protecting the interests of shareholders, the company actively protects the legitimate rights and interests of creditors and employees, treats suppliers, customers and consumers in good faith, practices the concept of green development, and actively engages in public welfare undertakings such as environmental protection and community construction, so as to promote the coordinated and harmonious development of the company itself and the whole society.
Article 3 this system is applicable to the company and its holding subsidiaries, and all joint-stock companies shall implement it with reference.
Chapter II division of social responsibility and authorization approval
Article 4 the management organization of corporate social responsibility includes the board of directors, the general manager’s office meeting and all functional departments of the company.
The board of directors is the decision-making body of corporate social responsibility, which reviews and approves the overall content of corporate social responsibility; The general manager’s office meeting is responsible to the board of directors, studies and puts forward suggestions on the company’s social responsibility, and leads the specific work of relevant functional departments of the company to perform social responsibility. The general office of the company is responsible for the drafting, organization, coordination and communication of documents in the formulation, implementation, evaluation and adjustment of the content of corporate social responsibility, the collection and analysis of social responsibility information, and the management of the specific implementation of social responsibility; The enterprise management department is responsible for tracking, inspecting, supervising, guiding and rectifying the social responsibility of the company’s holding subsidiaries; The securities department is responsible for the preparation and disclosure of the annual social responsibility report,.
Article 5 the board of directors of the company is the highest decision-making body of corporate social responsibility, and its responsibilities include:
(I) examine and approve the specific contents of corporate social responsibility;
(II) make decisions on major issues related to corporate social responsibility;
(III) examine and approve the company’s annual social responsibility report.
Article 6 the general manager’s office meeting is the leading organization of the company’s social responsibility work. Its specific responsibilities include: (I) studying the specific contents of the company’s social responsibility and putting forward suggestions;
(II) coordinate and arrange the function distribution of social responsibility work of each department;
(III) review major issues related to corporate social responsibility;
(IV) be responsible for the follow-up inspection, supervision and rectification of social responsibility work;
(V) lead the social responsibility management of relevant functional departments of the company.
Article 7 the general office, enterprise management department and Securities Department of the company are the main functional organizations of social responsibility management. They work under the leadership of the general manager’s office meeting. Their relevant responsibilities include:
(I) perform various social responsibilities of the company and its holding subsidiaries;
1. The office of the holding subsidiary is mainly responsible for safety production, product quality, environmental protection and resource conservation. See Articles 10, 11 and 12 of Chapter III for details.
2. The general office is mainly responsible for promoting employment. See Articles 13, 14 and 15 of Chapter III for details.
(II) the general office of the company (holding subsidiary) shall organize the formulation, evaluation and adjustment of corporate social responsibility according to the above responsibilities, and prepare the analysis report on the implementation of social responsibility; The enterprise management department shall implement the implementation of social responsibility, report the follow-up inspection, supervision and rectification to the general office, and assist the general office to complete the integrity of the social responsibility analysis report; The securities department is responsible for the summary report on the implementation of the company’s overall social responsibility;
(III) organize research on important issues related to corporate social responsibility;
(IV) organize training on the specific contents of the company’s social responsibility;
(V) the company’s office is responsible for organizing and urging all departments and holding subsidiaries of the company to prepare and report the performance of social responsibility.
Article 8 the securities department is responsible for preparing the annual social responsibility report.
Chapter III Management of social responsibility business
Article 9 the social responsibilities of the company include production safety, product quality, environmental protection, resource conservation, employment promotion, protection of employees’ rights and interests, etc.
Article 10 work safety:
(I) establish and improve the rules and regulations, operation specifications and emergency plans in terms of safety production in accordance with the national laws and regulations on safety production and in combination with the characteristics of the company’s production and operation, and put them in place to prevent the occurrence of safety accidents;
(II) pay attention to safety production investment, organize and carry out regular maintenance and management of production equipment, eliminate potential safety hazards in time, and ensure safe production;
(III) strengthen the safety production training and education for employees and improve the skills and level of disaster prevention. For special operators and production posts with special qualification requirements, the qualification certification system shall be implemented according to law and work with certificates; (IV) enterprises of holding subsidiaries involved in production safety shall establish accident emergency response plans, establish special emergency command departments, and be equipped with professional teams and necessary professional equipment. In case of production safety accidents, they shall deal with the production safety accidents according to the predetermined procedures, eliminate the impact of the accidents as soon as possible, and report in time in accordance with relevant national regulations, and shall not delay, falsely report or conceal the report. Strict accountability system shall be implemented for work safety. Article 11 product quality (applicable to production holding subsidiaries):
(I) formulate and improve the product quality standard system in accordance with national laws and regulations and in combination with the characteristics of the company’s products, and strive to provide the society with high-quality, safe and healthy products and services;
(II) strict quality control and inspection system;
(III) regard after-sales service as an important means for the company to adopt effective competitive strategy and improve the value-added of products and services, and pay attention to and strengthen after-sales service.
Article 12 environmental protection and resource conservation (applicable to production holding subsidiaries):
(I) attach importance to relevant national policies on industrial structure, pay special attention to the development requirements of industrial structure adjustment, accelerate the development of high-tech and traditional industries, effectively change the mode of development, pay attention to ecological protection, increase human, material and financial investment and technical support for environmental protection, constantly improve process flow, save energy and reduce emissions, and realize cleaner production and circular economy. Strengthen the comprehensive treatment of waste gas, waste water and waste residue, and establish a waste recycling and recycling system;
(II) continuously improve employees’ awareness of environmental protection and resource conservation through effective forms such as publicity and education; (III) in case of emergency and major environmental pollution incidents, start the emergency mechanism, timely report and deal with them, and investigate the responsibilities of relevant responsible persons according to law;
(IV) strengthen daily monitoring, implement the post responsibility system, regularly carry out supervision and inspection, and take timely measures to correct problems found.
Article 13 promoting employment: in combination with actual needs and meeting their own development, provide as many jobs as possible for the society.
Article 14 protect the legitimate rights and interests of employees:
(I) establish a sound and scientific employee training mechanism to attract a large number of capable employees to serve the enterprise sincerely;
(II) follow the principle of distribution according to work and equal pay for equal work, establish a scientific and effective salary mechanism in combination with internal and external factors and employees’ own performance, so as to stimulate employees’ work enthusiasm, professionalism and work performance to the greatest extent; (III) timely handle social insurance for employees, pay social insurance premiums in full, and ensure employees to enjoy social insurance benefits according to law;
(IV) care for the health of employees, strengthen the prevention, control and elimination of occupational diseases, ensure employees’ full right to rest and vacation, and widely carry out entertainment and leisure activities;
(V) respect the personality of employees, safeguard their dignity, eliminate all kinds of discrimination such as gender, nationality, religion and age, and ensure their physical and mental health;
(VI) avoid mass dismissal of employees under normal business conditions and increase social burden.
Article 15 supporting Charity: supporting social charity and love activities is of great and far-reaching significance for organizing and mobilizing social resources, adjusting the gap between the rich and the poor, alleviating social contradictions, promoting social equity and building a harmonious society.
Article 16 integrate the responsibilities and requirements into the whole process of the company’s operation, and continuously and systematically improve all businesses. Implement the concept of social responsibility into every work, every post and every employee, become an organic part of production and business activities, and ensure the practical implementation of social responsibility.
Article 17 spread the company’s social responsibility values to each department, post and employee, so as to make social responsibility management in place and reach people.
Article 18 social responsibility training shall be carried out for on-the-job employees, and new employees shall be trained in time to ensure that employees understand the company’s social responsibility policies, enhance employees’ sense of responsibility, popularize responsibility knowledge, and practice the company’s responsibility values.
Article 19 carry out all-round social responsibility management for the whole process of the company’s production and operation, carefully check the whole process of product procurement, production, sales, use and recycling, sort out the life cycle of each product without leaving a dead corner, closely integrate social responsibility with production and operation, and truly fall social responsibility to every link and post.
Article 20 establish a communication mechanism with employees and other stakeholders, broaden channels, collect opinions and suggestions from stakeholders, and establish a feedback mechanism to promote the company to better fulfill its social responsibilities.
Article 21 conduct internal audit and evaluation of the company’s social responsibility management, report the audit results to the management, correct the actions in violation of social responsibility policies in time, and remedy the consequences in time.
Article 22 the management of corporate social responsibility includes the formulation, implementation, evaluation, adjustment, rectification and report of social responsibility.
Article 23 formulation of corporate social responsibility:
(I) the board of Directors proposes the deployment of formulating the content of corporate social responsibility;
(II) the general manager’s office meeting puts forward suggestions on formulating the content of corporate social responsibility according to the actual needs and the deployment of the board of directors;
(III) the general office of the company starts the formulation of the content of corporate social responsibility according to the suggestions of the general manager’s office meeting;
(IV) the content of corporate social responsibility shall be reviewed by the general manager’s office meeting and then submitted to the board of directors of the company for approval; (V) the general office and enterprise management department of the company are responsible for organizing and urging all affiliated enterprises and departments of the company to earnestly perform their social responsibilities.
Article 24 evaluation and adjustment of social responsibility:
(I) the company shall strengthen the ex ante, in-process and ex post evaluation of the formulation and implementation of social responsibility according to this system; (II) the general manager’s office meeting puts forward the requirements for social responsibility content evaluation according to the actual needs;
(III) the general office of the company shall organize all enterprises and departments of the company to carry out analysis and self-evaluation according to the social responsibility content evaluation scheme;
(IV) the general office of the company and the enterprise management department shall conduct a general analysis, summary and evaluation on the implementation of corporate social responsibility according to the information fed back by various departments and holding subsidiaries of the company and the inspection and supervision results, and the securities department shall prepare the implementation report of corporate social responsibility based on it;
(V) the general office of the company and the enterprise management department shall put forward opinions on the adjustment of the content of the company’s social responsibility according to the evaluation report on the implementation of social responsibility and the actual needs, and the securities department shall summarize and form a general plan, which shall be submitted to the general manager’s office meeting for deliberation and then submitted to the board of directors of the company for approval;
Article 25 preparation and release of social responsibility report: at the end of the year, the securities department shall prepare the annual social responsibility report of the company based on the data information and situation reports of the social responsibility performance of all departments and holding subsidiaries provided by the functional departments of the company. The social responsibility report of the company shall be reviewed by the general manager’s office meeting and issued after being submitted to the board of directors for approval.
Article 26 the company may, according to its actual situation, disclose or separately disclose the following environmental information in the company’s annual social responsibility report:
(I) the company’s environmental protection policy, annual environmental protection objectives and results;
(II) total annual resource consumption of the company;
(III) environmental protection investment and environmental technology development of the company;
(IV) type, quantity, concentration and destination of pollutants discharged by the company;
(V) construction and operation of environmental protection facilities of the company;
(VI) the treatment and disposal of waste generated in the production process of the company, and the recycling and comprehensive utilization of waste products;
(VII) voluntary agreement signed with the environmental protection department to improve environmental behavior;
(VIII) the company is rewarded by the environmental protection department;
(IX) other environmental information voluntarily disclosed by the company.
If the company has subsidiaries engaged in mineral development and other industries that have a great impact on the environment, it shall disclose the environmental information listed in items (I) to (VII) of the preceding paragraph, and focus on the company’s work in environmental protection investment and environmental technology development.
The company shall regularly assign special personnel to inspect the implementation of environmental protection policies, correct the acts that do not comply with the company’s environmental protection policies, and take corresponding remedial measures.
In case of major environmental pollution accidents, the company shall timely disclose the causes of environmental pollution, the impact on the company’s performance, the impact of environmental pollution, the rectification measures to be taken by the company, etc.
The important subsidiaries of the company that belong to the key pollutant discharge units announced by the environmental protection department shall disclose relevant environmental information in the annual report in accordance with laws and regulations and the relevant provisions of Shenzhen Stock Exchange.
If the company discloses environmental information in the form of interim report during the reporting period, it shall explain the follow-up progress or changes. If the relevant matters have been disclosed in the interim report and there is no progress or change in the follow-up implementation, it is only necessary to disclose the overview of the matter and provide the relevant query index of the interim report disclosure website.
Chapter IV supplementary provisions
Article 27 the board of directors of the company shall be responsible for the interpretation of this system.
Article 28 this system shall come into force from the date of deliberation and approval by the board of directors of the company
