Announcement on applying for comprehensive credit line in 2022
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents.
Shanghai Fudan Microelectronics Group Co.Ltd(688385) (hereinafter referred to as “the company”) held the 32nd meeting of the 8th board of directors on March 18, 2022, deliberated and adopted the proposal on applying for comprehensive credit line in 2022. The details are as follows:
1、 Basic information of applying for comprehensive credit line
(I) purpose and amount
In order to meet the needs of the company’s production, operation and development, the company and its wholly-owned and holding subsidiaries intend to apply to banks and other financial institutions for a comprehensive credit line of no more than RMB 745.6 million.
(II) credit varieties
Comprehensive credit varieties include but are not limited to: working capital loan, bank acceptance bill, bill discount, trade financing, letter of guarantee, letter of credit, project fund loan, etc.
(III) credit term
The term of the comprehensive credit line shall be valid within 12 months from the date of deliberation and approval by the board of directors. Within the credit term, the credit line can be recycled.
2、 Other instructions
The above credit line is not equal to the actual financing amount of the company, and the actual financing amount shall be within the credit line. The specific financing amount, term and business type shall finally be subject to the actual approval results and contracts actually signed by banks and other financial institutions.
In order to ensure work efficiency, the board of directors of the company agrees to authorize the chairman or his authorized personnel to handle the above credit line application within the authorization period and limit, and sign contracts, agreements, deposit pledge contracts, vouchers and other legal documents. The authorization shall be valid for one year from the date of approval by the board of directors. The company’s application for annual comprehensive credit line does not involve the provision of external guarantee or mutual guarantee.
