Announcement on the expiration of the term of office of independent directors

Shenzhen King Explorer Science And Technology Corporation(002917) (hereinafter referred to as “the company”) currently serves as independent directors of the company. Mr. Wang Xuguang, Ms. Zheng Fuli and Mr. Zhang Qingwei have served as independent directors of the company for six consecutive years since March 18, 2016, and their term of office expires. According to the rules for independent directors of listed companies and other relevant provisions of the China Securities Regulatory Commission, the continuous term of office of independent directors in the same listed company shall not exceed six years. In view of the fact that there are currently 8 members of the board of directors of the company, including 3 independent directors, and that the number of independent directors of the company will be less than one-third of the number of members of the board of directors after the expiration of the term of office of Mr. Wang Xuguang, Ms. Zheng Fuli and Mr. Zhang Qingwei, in accordance with the rules for independent directors of listed companies, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and the articles of association of the company, Mr. Wang Xuguang, Ms. Zheng Fuli and Mr. Zhang Qingwei will continue to perform their duties as independent directors and members of relevant special committees of the board of directors before the new independent directors are elected by the general meeting of shareholders of the company. The board of directors of the company will nominate new independent director candidates as soon as possible, which will be submitted to the general meeting of shareholders of the company for election after being submitted to Shenzhen stock exchange for examination and approval.
