1、 Meetings of the board of supervisors
S.P.I Landscape Design Co.Ltd(300844) (hereinafter referred to as “the company”) the 10th meeting of the second board of supervisors (hereinafter referred to as “the meeting”) was successfully held in the company’s conference room on March 18, 2022 by on-site combined with communication voting. The notice of the meeting was sent by mail, telephone and other means on March 13, 2022. The meeting was convened and presided over by Mr. Mei Weiping, chairman of the board of supervisors of the company. There were 3 supervisors who should be present and 3 actually present. No supervisor entrusted other supervisors to attend or be absent from the meeting.

The deliberation and voting procedures of this joint investment and related party transaction with professional investment institutions and related parties comply with the provisions of relevant laws, regulations, normative documents and the articles of association. This transaction is based on the principle of equality and mutual benefit, the pricing is fair and reasonable, in line with the interests of the company and all shareholders, and there is no situation that damages the interests of the company and all shareholders, especially small and medium-sized shareholders.
