As an independent director of North Chemical Industries Co.Ltd(002246) (hereinafter referred to as “the company”), in accordance with the guidance on the establishment of independent director system in listed companies and other relevant laws and regulations of China Securities Regulatory Commission, after careful inquiry and information inquiry, he expressed the following independent opinions on the relevant matters considered at the 56th meeting of the Fourth Board of directors: independent opinions on the appointment of senior managers of the company
This nomination is made on the basis of fully understanding the identity, education, occupation and professional quality of the nominee, and has obtained the consent of the nominee himself. The nominee has the qualification and ability to hold the corresponding position. The qualifications of relevant senior managers comply with the provisions on the qualifications of senior managers of Listed Companies in the company law and the articles of association. They have not been punished by the CSRC and other relevant departments and punished by the stock exchange. There are no other circumstances in which they are not allowed to serve as senior managers of listed companies. They are not subject to dishonesty. The employment procedures of the above senior managers are legal and compliant. Agree to appoint Mr. Wei Weihua as the general manager of the company; Agree to appoint Mr. Du Lanping, Mr. Zeng Weigang and Ms. Zhang Weiwei as deputy general managers of the company.
