As an independent director of China Jushi Co.Ltd(600176) (hereinafter referred to as “the company”), based on objective facts and independent judgment, in accordance with the rules for independent directors of listed companies, the Listing Rules of Shanghai Stock Exchange and other laws and regulations and the relevant provisions of the articles of association, the prior approval opinions on the company’s change of accounting firm are as follows:
The review procedure of the company’s change of accounting firm complies with the provisions of relevant laws, regulations and the articles of association. Zhongshen Zhonghuan Certified Public Accountants (special general partnership) has the practice certificate of accounting firm and the qualification of securities and futures business, has the experience and ability to provide audit services for listed companies, can provide fair, fair and independent audit services for the company, meet the requirements of the company’s audit work in 2022, and does not damage the interests of the company and shareholders. We agree to appoint Zhongshen Zhonghuan Certified Public Accountants (special general partnership) as the audit institution of the company in 2022 and submit the matter to the general meeting of shareholders of the company for deliberation.
