As an independent director of China Jushi Co.Ltd(600176) (hereinafter referred to as “the company”), in accordance with the governance standards for listed companies, the Listing Rules of Shanghai Stock Exchange and other normative documents and the relevant provisions of China Jushi Co.Ltd(600176) articles of association, the company and its subsidiaries are expected to cooperate with China Building Materials International Trade Co., Ltd. Jiangsu Lianyungang Port Co.Ltd(601008) Zhongfu Lianzhong Composite Group Co., Ltd., Zhenshi Holding Group Co., Ltd Zhejiang Hengshi Fiber Industry Co., Ltd., Zhenshi Yongchang composite material Co., Ltd., Zhenshi Group Zhejiang Yushi International Logistics Co., Ltd., Shanghai Tianshi International Freight Forwarding Co., Ltd., American quartz logistics company and Tongxiang Huarui automatic control technology equipment Co., Ltd. have transactions related to daily production and operation, including product sales, material procurement, entrusted transportation and leasing, and express the following independent opinions:
All the related party transactions expected by the company are required by the company’s daily business activities in 2022. The related party transactions follow the principles of fair and just market, and the pricing is fair, which will not damage the interests of the company and minority shareholders, have no adverse impact on the current and future financial status and operating results of the company, and will not affect the independence of the company. The relevant proposals have been reviewed and approved by the board of directors. The review and voting procedures comply with the provisions of relevant laws, regulations and the articles of association, and agree to the matters related to the estimated amount of daily connected transactions of the company in 2022.
